$5M Professional Liability (E&O) Insurance for Strategy Consultants

In this guide

For strategy consultants whose client contract asks for $5M, Professional Liability is often built as a primary policy plus excess layers, not one policy.

The short answer

  • A $5M requirement means your client wants up to $5M for claims that your advice cost them money, often from very large companies or private equity sponsors.
  • It is often built as a smaller primary policy plus one or more excess layers (extra coverage above the first policy) that use the same terms as the primary.
  • $5M Professional Liability is very rare online and almost always needs a broker. Morrow can help you find it.

What does a $5M requirement mean for strategy consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services cost a client money. Many strategy firms buy a form called Miscellaneous Professional Liability, made for advice-based businesses. A $5M clause may read like this:

Illustrative contract wording

Supplier shall maintain Professional Liability insurance covering consulting and advisory services, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. Limits may be satisfied by a combination of primary and follow-form excess policies. Claims-made coverage shall have a retroactive date no later than the start of Services and shall be maintained for five (5) years after Services end.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: up to $5M for one claim, and $5M for all claims in the policy year.
  • Every layer counts: the client will usually want each policy listed on the certificate of insurance (a one-page proof of coverage).
  • Claims-made: coverage applies to claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest date of work the policy covers).
  • Five years after the work: you would usually renew every layer for that long, or buy tail coverage (extra time to report claims) if you stop.

Hypothetical example: a private equity buyer closes a deal on your market sizing, then says you overstated demand.

Who asks strategy consultants for $5M?

Some strategy engagements ask for $2M for strategy consultants or $3M for strategy consultants. $5M is a step up because one report can drive a very large deal or program budget:

  • Fortune 500 procurement teams that may put advisory firms on one vendor template.
  • Private equity sponsors hiring you for commercial due diligence before a large acquisition.
  • Some large public agencies buying program strategy or modernization plans.
  • Health systems, banks and insurers on multi-year transformation programs.
  • Prime contractors that pass their own $5M requirement down to you as a subcontractor.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" means $3M of coverage above the first $2M. At $5M, primary plus excess is often how it is built.

Example A: single policy

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: primary plus excess

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Example C: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M per claim / $5M aggregate
Block height shows the size of each limit.

Each excess layer should follow form, meaning it uses the primary policy's terms. Ask that the retroactive date, policy period and named insured (the business the policy covers) match on every layer, so there are no gaps. Confirm with the client that primary plus follow-form excess meets the clause.

If you already carry $1M or $2M, request new quotes through Morrow, either a new primary at $5M or excess layers above a primary. Morrow can ask insurance carriers (the companies that issue policies) to keep your retroactive date and prior acts coverage (coverage for work you did before the new policy starts) where the market allows. Report known incidents to your current carrier before you switch.

Good to know

Defense costs can shrink your total limit. Many Professional Liability policies pay defense costs inside the limit, so a long dispute uses up limits before any settlement. See defense costs inside or outside the limit.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms. Expect questions like:

  • Revenue by service line: corporate strategy, commercial due diligence, pricing, operating model, M&A integration or digital transformation.
  • Whether your reports are shared with lenders, investors or boards who may rely on them.
  • Whether you only advise, or also run implementation or sign off on decisions.
  • Your largest engagements and the size of the decisions they support.
  • How you document assumptions and data, and any limitation of liability clause (a cap on what you can owe a client).
  • Five years of loss runs (a report of past claims), any incidents, and your current policy and retroactive date.

What affects the cost?

  • Deal and financial exposure. Due diligence and work that feeds investment decisions may cost more to insure than planning work.
  • How the layers are built. The primary layer may cost more per $1M of limit than the excess layers above it, but pricing varies by carrier.
  • Retention and defense terms. The retention is what you pay on each claim before the policy pays, like a deductible. A higher one may lower the price.
  • Claims history. Past claims can raise the price or limit your options.

Frequently asked questions

Do I need $5M Professional Liability as a strategy consultant?

Only if your contract or client requires it. Check the insurance clause for the limit and whether excess layers count.

Can my commercial umbrella help reach $5M for my consulting firm?

Almost never. A commercial umbrella usually excludes professional services. You would usually need a higher primary or a follow-form excess Professional Liability policy. See umbrellas and Professional Liability.

Can a client be added as an additional insured on my $5M Professional Liability?

Usually not. Carriers seldom add clients because that would make the client an insured under your policy, and some may agree only when a written contract requires it. Some clients accept a certificate that lists each layer with its policy number, limit and dates.

Looking for $5M in Professional Liability? Morrow can help.

Send us the contract requirement and your current policy, if you have one. Morrow can review both and request quotes for a $5M primary or a primary plus excess layers. Whether carriers offer terms depends on underwriting.
