$3M Professional Liability (E&O) Insurance for Strategy Consultants

In this guide

For strategy firms asked by a large client or deal sponsor for $3M: you can meet it with one $3M primary policy or a primary plus follow-form excess layer, a step above the common $1M and $2M limits.

The short answer

  • A $3M requirement means your Professional Liability (E&O) must pay up to $3M per claim and in total for the year, usually as one $3M primary policy or a primary plus follow-form excess layer.
  • $3M is on the higher side for strategy consultants. It usually comes from large companies, deal work or public contracts.
  • $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.

What does a $3M requirement mean for strategy consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client a financial loss. Strategy firms often buy Miscellaneous Professional Liability, a form built for advice-based businesses. In a consulting agreement with a large client, a $3M clause may read like this:

Illustrative contract wording

Consultant shall maintain Professional Liability insurance covering negligent acts, errors and omissions in the performance of advisory services, with limits of not less than $3,000,000 per claim and $3,000,000 in the annual aggregate. Such coverage shall be maintained for three (3) years after completion of the Services.

Illustrative example only. Actual contract wording varies.

  • Per claim and aggregate: the most the policy pays for one claim, and for all claims in a policy year. Here both are $3M. See how limits are written.
  • Three years after the work: Professional Liability is almost always claims-made (it covers claims made while the policy is active). Firms often keep the policy in place that long with the same retroactive date (the earliest date of work it covers). Check your own contract.
  • No stacking language: this clause does not say if primary plus excess is allowed. Confirm with the client that primary plus follow-form excess meets the clause.

Who asks strategy consultants for $3M?

Many firms are asked for lower limits, such as $2M. $3M usually means a large decision rests on your work, and it is where a primary plus excess layer becomes a common option. It often comes from:

  • Fortune 500 companies using one vendor agreement for every outside advisor.
  • Private equity firms hiring you for commercial due diligence (a check of a target company's market and growth claims) before they buy it.
  • Corporate development teams using your market work to plan an acquisition or new business line.
  • Some government agencies with the limit written into the request for proposal (RFP).
  • Larger consulting firms passing their client's limit down to subcontractors.

How is $3M built?

A primary policy pays first. An excess policy pays only after the primary limit is used up. "$1M xs $2M" means $1M above the first $2M.

Example A: single policy

Primary policy$3M / $3M
Total: $3M per claim / $3M aggregate

Example B

Excess layer$1M xs $2M
Primary policy$2M / $2M
Total: $3M per claim / $3M aggregate

Example C

Excess layer$2M xs $1M
Primary policy$1M / $1M
Total: $3M per claim / $3M aggregate

The excess should follow form, meaning it uses the primary policy's terms. Every layer should share the same retroactive date and policy period. A commercial umbrella almost never adds to Professional Liability (see umbrellas and Professional Liability).

Good to know

Defense costs may use up the limit. Many Professional Liability policies pay defense costs inside the limit. In a hypothetical dispute over a failed acquisition, legal fees could use up much of the limit. Confirm each layer handles defense the same way. See defense costs inside or outside the limit.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms. Expect questions on:

  • Your service mix, such as growth strategy, pricing, market entry or due diligence, with revenue shares.
  • How much of your work supports deals, and whether buyers or lenders besides your client rely on your reports.
  • Whether you only advise or also lead rollout.
  • Whether fees depend on results, such as a success fee, and how you label forecasts.
  • The contract asking for $3M, plus your standard engagement letter, including any limitation of liability clause (a cap on what you owe a client).
  • Your largest clients, revenue, loss runs (a report of past claims) and current policy.

What affects the cost?

  • Deal work. Due diligence and reports that investors or lenders rely on usually cost more than strategic planning.
  • How the $3M is built. The primary layer usually costs the most per $1M of limit. Excess is usually priced lower per $1M.
  • Engagement size and claims history. Larger projects and past claims can raise the price.
  • Retention and defense terms. A retention works like a deductible. A higher one usually lowers premium.

Frequently asked questions

Do I need $3M Professional Liability as a strategy consultant?

Only if your contract or client requires it. Some hypothetical examples: a private equity buyer says your due diligence overstated the target's market, and the deal loses value. A cost-cutting plan you led is blamed for losing a major customer. Each could mean large losses.

I already have $1M or $2M. How do I get to $3M?

Request new quotes for a $3M primary policy or a follow-form excess layer above your current primary. Morrow can request both, asking carriers to keep your retroactive date and prior acts coverage (cover for work done before the new policy starts) where the market allows. Report any known incidents to your current carrier before you switch.

Can my client be added as an additional insured on my Professional Liability?

Usually not. Many clients ask for a certificate of insurance (a one-page proof of coverage) instead. It can list each layer with its limit and policy period. Check your contract for what it requires.

Is $3M hard to find for a small strategy firm?

It depends on underwriting, and $3M is rarely available online, so it usually needs a broker. Morrow can help you find it. Clear scopes, signed engagement letters and a clean claims history may help. For larger asks, see $5M for strategy consultants.

Looking for $3M in Professional Liability? Morrow can help.

Send us your contract's insurance requirement and your current policy. Morrow can review both and request quotes for a $3M primary policy or a primary and excess structure.
