$2M Professional Liability (E&O) Insurance for Strategy Consultants

In this guide

For strategy consultants whose client contract asks for $2M: it usually means Professional Liability (E&O) that pays up to $2M per claim, and often $2M in total for the policy year.

The short answer

  • A $2M requirement usually means your Professional Liability (E&O) policy must pay up to $2M per claim, and often $2M in total for the year, when your advice costs a client money.
  • Check the clause for both numbers: the per claim limit and the annual total.
  • If you carry $1M today, ask Morrow to request quotes for a new $2M policy.

What does a $2M requirement mean for strategy consultants?

It means your Professional Liability (E&O) policy must pay up to $2M for a claim, and the contract may also ask for $2M in total for the year. E&O is short for Errors and Omissions: coverage for claims that your advice or services cost a client money. Many strategy firms buy a form called Miscellaneous Professional Liability, made for advice-based businesses. A $2M clause may read like this:

Illustrative contract wording

Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering the strategy, advisory and related services under this Agreement, with limits of not less than $2,000,000 per claim and $2,000,000 in the annual aggregate. If coverage is written on a claims-made basis, Consultant shall maintain it for at least three (3) years after the Services end.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: per claim is the most the policy pays for any one claim. Aggregate is the most it pays for all claims in one policy year. Here, both are $2M.
  • $1M/$2M is not $2M/$2M. The first pays only $1M on any one claim, so it may not meet a clause that asks for $2M per claim.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest date of work the policy covers).
  • Covered services: strategy clauses often say the insurance must cover advice, analysis and recommendations, not only finished reports. Check that the wording matches your scope of work.

Who asks strategy consultants for $2M?

Large companies, private equity firms, public agencies and larger consulting firms often ask strategy consultants for $2M. Some strategy projects stay at $1M (see $1M Professional Liability for strategy consultants), so $2M tends to show up when the client or the stakes are bigger:

  • Large companies and larger consulting firms with a standard vendor agreement.
  • Private equity firms and their portfolio companies hiring you for market studies or post-deal work.
  • Clients acting on your plan for a market entry, a pricing change, a reorganization or a merger.
  • State and city agencies, large nonprofits, hospitals and universities

How is $2M built?

A $2M limit is usually one primary policy (the policy that pays first) at $2M/$2M, or a $1M primary plus a $1M excess layer (a second policy that pays after the first is used up). The excess should follow form, meaning it uses the primary policy's terms. Confirm with the client that primary plus follow-form excess meets the clause. A commercial umbrella almost never covers Professional Liability, so it will not fill the gap. If a contract asks for more than $2M, see $3M Professional Liability for strategy consultants. $3M and above is rarely found online. Morrow can help you find it.

If you carry $1M today, Morrow can request quotes for a new primary or an excess layer, keeping your retroactive date where the market allows. Keep your current policy until the new one starts, and report known incidents to your current carrier first.

Good to know

Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit. See defense costs inside or outside the limit.

What will underwriters ask for?

An underwriter is the person at the insurer who decides whether to offer coverage and on what terms. For a strategy firm at $2M, expect questions like:

  • Your services by share of revenue: strategy, market entry, pricing, operations or M&A support.
  • Whether you only advise, or also lead implementation or make decisions for the client.
  • Any work tied to deals, valuations, fundraising or investor materials.
  • Your largest clients and typical fee size per engagement.
  • Whether you use written scopes, and any limitation of liability clause (a clause that caps what you can owe a client).
  • Revenue, loss runs (a report of past claims), and your current policy and retroactive date.

What affects the cost?

  • What your advice touches. Deal, valuation or financial work may cost more to insure than planning workshops or market research.
  • Client size and fee size. Bigger projects can mean bigger claims.
  • How the $2M is built. One primary policy and a primary plus excess layer can price differently.
  • Retention and defense terms. The retention is what you pay on each claim before the policy pays, like a deductible. A higher retention usually lowers the price. Defense outside the limit usually raises it.
  • Claims history. Past claims can raise the price.

Frequently asked questions

Do I need $2M Professional Liability as a strategy consultant?

You need it if your contract or client requires it. Send Morrow the clause so it can be reviewed.

Is $1M/$2M enough if my contract says $2M?

Usually not. Many clauses ask for $2M per claim, which a $1M/$2M policy does not meet. Check the exact wording, then ask Morrow to request quotes for $2M/$2M or a primary plus follow-form excess.

Can the client be added as an additional insured?

Usually not. Most Professional Liability policies do not let you add a client as an additional insured. Many clients accept a certificate of insurance (a one-page proof of your own coverage) instead. Send the contract wording to Morrow with your quote request. See what your certificate should show.

What could a $2M claim against a strategy consultant look like?

Hypothetical example: a retailer follows your market entry plan, opens stores in a new region, and says your demand forecast was wrong. A policy usually responds to a covered claim, but it may exclude a guarantee of results you promised the client.
