For strategy firms asked to carry $10M, Professional Liability is usually built as a primary policy plus excess layers that follow its terms.
The short answer
- $10M Professional Liability means up to $10M for one claim and $10M for the policy year, and strategy firms usually meet it with a primary policy plus follow-form excess layers.
- It is usually built as a tower: one primary policy plus one or more excess layers that follow form.
- $10M is very rare online and almost always needs a broker to place the limit. Morrow can help you find it.
What does a $10M requirement mean for strategy consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services cost a client money. Most strategy firms buy Miscellaneous Professional Liability, a form built for advice-based businesses. A $10M clause may read like this:
Illustrative contract wording
Consultant shall maintain Professional Liability insurance covering all advisory services under this Agreement, with limits of not less than $10,000,000 per claim and $10,000,000 in the annual aggregate. Limits may be met through primary and follow-form excess policies. Coverage shall be maintained for five (5) years after Services end.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: up to $10M for one claim, and $10M for all claims in the policy year.
- Usually claims-made: the policy usually covers only claims made and reported while it is active, for work done on or after the retroactive date (the earliest work date it covers).
- Five years after: you would usually renew every layer that long, or buy tail coverage (extra time to report claims) if you stop.
Who asks strategy consultants for $10M?
Many engagements ask for less, such as $3M or $5M. $10M tends to appear when your advice shapes a very large decision:
- Fortune 500 and global companies whose master service agreement (MSA) sets one high minimum for all advisers.
- Private equity sponsors and lenders relying on your due diligence (research on a company before a purchase).
- Prime contractors that pass their own $10M requirement down to you.
- Some large state agencies or federal programs may set a high requirement on very large contracts (see government contract requirements).
How is $10M built?
A primary policy pays first. An excess policy pays only after the layer below it is used up. "$5M xs $5M" means $5M of coverage above the first $5M. A tower is the primary plus its excess layers.
Example A: three layers
Example B: four layers
In Example A, a $2M primary sits under $3M and $5M excess layers. In Example B, a $1M primary sits under three excess layers.
Each excess layer should follow form, meaning it uses the primary policy's terms. Excess layers often need to match the primary on the retroactive date, policy period and named insured (the business the policy covers). Many policies pay defense costs inside the limit, so legal fees can wear down the tower. Confirm with the client that primary plus follow-form excess meets the clause.
If you already carry a lower limit, request new quotes through Morrow: a new primary with excess layers, or excess layers above a primary. When Morrow requests quotes, it can ask for your retroactive date and prior acts coverage (coverage for earlier work done before the new policy starts) to be kept where the market allows. Report known incidents to your current carrier before you switch.
Good to know
Only one engagement needs $10M? A separate policy for just that engagement, often called project-specific Professional Liability, is sometimes discussed. It is uncommon for strategy work, and availability varies. Whether a claim there affects your firm-wide limit depends on the policy wording.
What will underwriters ask for?
Expect questions like:
- Revenue by service line: corporate strategy, market sizing, pricing, due diligence or merger integration.
- Whether lenders, investors or boards receive your reports, or you sign reliance letters (letters letting third parties rely on your work).
- Whether you only advise, or also lead implementation or promise savings targets.
- The engagement that needs $10M: its fee, length and the deal or budget it supports.
- Five years of loss runs (a report of past claims), any incidents, and your current policy.
What affects the cost?
- Deal exposure. Due diligence that feeds investment decisions may cost more to insure than planning work.
- Promised results. Savings targets can make carriers more cautious.
- How the tower is built. Excess layers are usually priced lower per $1M than the primary.
- Retention and defense terms. The retention is what you pay on each claim before the policy pays, like a deductible.
- Claims history. Past claims can limit offers and raise prices. See cost factors.
Frequently asked questions
Do I need $10M Professional Liability as a strategy consultant, or is $5M enough?
Only your contract can answer that. If it says $10M, a lower limit usually will not satisfy it. If it says $5M, that is a separate requirement.
What could a $10M claim against a strategy firm look like?
It usually starts with a client saying your advice cost it money. Two hypothetical examples: a retailer closes hundreds of stores based on your footprint study, then says your model was wrong. A lender funds a buyout based on your due diligence, then says you missed a major customer loss. Policies commonly exclude guarantees or warranties of results, such as promised savings.
Can my commercial umbrella help reach $10M?
Almost never. A commercial umbrella usually excludes professional services. You would need excess Professional Liability layers. See umbrellas and Professional Liability.
Can my client be added as an additional insured on $10M Professional Liability?
Usually not. The policy covers your liability to clients, and making a client an insured can conflict with the policy's insured-versus-insured exclusion (a rule limiting claims between people the policy covers). Many clients accept a certificate listing each layer with its policy number, limit and dates.
