If a client's contract asks your ISO or quality system consulting firm for $3M in Professional Liability (E&O), it is often met with one $3M policy or, if the contract allows combined limits, a smaller primary plus follow-form excess.
The short answer
- A $3M requirement usually means your Professional Liability (E&O) must pay up to $3M per claim and $3M in total for the policy year, but your contract's wording controls.
- It is usually built as a single $3M primary policy, or a $1M or $2M primary policy plus a follow-form excess layer.
- $3M is rarely available online and is usually placed through a broker. Morrow can help you find it.
What does a $3M requirement mean for ISO and quality system consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your advice or services cost a client money. A $3M clause might read:
Illustrative contract wording
Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering quality management system consulting and supplier audits under this Agreement, with limits of not less than $3,000,000 per claim and $3,000,000 in the aggregate. Limits may be satisfied by a combination of primary and excess policies. If written on a claims-made basis, coverage shall continue for three (3) years after the Services end.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year.
- Claims-made: Professional Liability almost always covers claims first made against you and reported to the carrier during the policy period, for work done after the retroactive date (the earliest work date covered).
- Primary plus excess: the second sentence allows stacking. If yours is silent, confirm with the client that primary plus follow-form excess meets the clause.
Who asks ISO and quality system consultants for $3M?
Smaller jobs often stay at $1M or $2M. These buyers more often ask for $3M:
- Large aerospace and defense contractors hiring you for supply chain audits or multi-plant AS9100 programs.
- Medical device and pharmaceutical companies rebuilding an ISO 13485 system after a regulator finding.
- Tier 1 automotive suppliers using you as an IATF 16949 lead under a master service agreement (MSA).
- Energy and construction companies buying ISO 45001 or 14001 programs for high-hazard sites.
- Government agencies that write the limit into the bid.
How is $3M built?
A primary policy pays a claim first. An excess layer is a second policy that pays only after the primary limit is used up. "$1M xs $2M" means a $1M layer above the first $2M.
Option A: one policy
Option B: $2M primary plus excess
Option C: $1M primary plus excess
Miscellaneous Professional Liability, a general form for advice work, is often used for ISO consultants. ISO 27001 work may fit Technology E&O better, and licensed engineers usually need an A&E (architects and engineers) form.
The excess should follow form, meaning it uses the primary policy's terms. Every layer should share the same retroactive date. A commercial umbrella almost never counts toward this limit (here is why). If you carry $1M or $2M now, Morrow can request new quotes for a $3M primary or excess layers, keeping your retroactive date where the market allows.
Good to know
Defense costs can shrink the limit. Many Professional Liability policies pay defense costs inside the limit, so legal bills reduce what is left to settle.
What will underwriters ask for?
An underwriter (the carrier's risk reviewer) may ask:
- Revenue by standard (ISO 9001, 13485, AS9100, IATF 16949, 14001, 45001) and by service: training, implementation or auditing.
- Whether your work feeds safety-critical products, such as implants or flight parts.
- Whether you act as a fractional quality manager who signs records or approves releases.
- How many supplier audits you run, and who relies on the reports.
- Whether your contracts promise a passed certification audit. A promise like that may not be covered, because many policies exclude liability you take on only by contract.
- Subcontract auditors you use, loss runs (a report of past claims), and your current policy and retroactive date.
What affects the cost?
- Product risk. Medical device, aerospace or vehicle safety work usually costs more than general ISO 9001 support.
- How the $3M is built. The primary layer usually costs the most per $1M of limit. Excess is usually priced lower per $1M.
- Your role. Signing records or releases usually adds risk compared with advising only.
- Retention and defense terms. A higher retention (like a deductible) usually lowers premium. Defense outside the limit often adds cost.
- Claims history and contracts. Past claims and clear written scopes matter.
Frequently asked questions
What could a $3M Professional Liability claim against an ISO or quality system consultant look like?
A $3M claim could come from one audit report that several plants or products relied on. Hypothetical examples: A supplier you approved ships out-of-spec parts to several of the client's plants. The client blames your audit report for the rework. Or a device maker says your corrective action process missed a trend that led to a recall. Many forms exclude injury, property damage and product recalls, so check the policy's exclusions (the things it does not cover).
Is $2M enough if my contract says $3M?
No, a $2M policy alone falls short of a $3M clause. A $2M primary plus a $1M follow-form excess layer may meet it if the clause allows combined limits. Morrow can review the wording.
Can my client be added as an additional insured on my Professional Liability?
Usually not on Professional Liability. Your contract's wording controls, so send it to Morrow to review. Your certificate of insurance (proof of coverage) should list each Professional Liability layer, with each limit and policy period.
I also do inspections or testing. Does that change what Professional Liability I need?
It may. Inspection or testing work can change the form you need. See $3M for technical inspection firms.
Looking for $3M in Professional Liability? Morrow can help.
Send us the contract's insurance requirement and your current policy, if you have one. Morrow can review both and request quotes for a $3M primary policy or a primary and excess structure. Whether a carrier offers terms depends on underwriting.
