Insurance agencies can often reach $5M in Professional Liability (E&O) with one primary policy or a smaller primary plus excess layers (extra limit above the primary). This guide is for agencies whose program or client contract asks for $5M.
The short answer
- Insurance agencies can often reach $5M in Professional Liability (E&O) with one primary policy or a primary plus excess layers. It is on the high end and usually comes with program business, authority to bind coverage for a carrier, or large benefits contracts.
- Excess layers should follow form, meaning they use the same terms as the primary policy.
- $5M is very rare online. It almost always needs a broker who can request quotes from specialty markets, which take risks that standard carriers decline. Morrow can help you find it.
What does a $5M requirement mean for insurance agencies?
Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your professional services cost someone money. Many agencies buy a form built for their work, often called agents and brokers Errors and Omissions. A $5M clause in a program or broker services agreement might read:
Illustrative contract wording
Producer shall maintain Insurance Agents and Brokers Errors and Omissions insurance with limits of not less than $5,000,000 per claim and $5,000,000 annual aggregate. If written on a claims-made basis, coverage shall be maintained for three (3) years after termination. Limits may be satisfied by a combination of primary and excess policies.
Illustrative example only. Your agreement's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a year. See Professional Liability limits explained.
- Claims-made: the policy covers claims made and reported while it is active, for work done on or after the retroactive date (the earliest work date the policy covers).
- After the agreement ends: you would usually renew every layer for the required years, or buy an extended reporting period (tail, extra time to report claims) on each layer.
- Primary plus excess: the last sentence lets you stack policies. If your clause is silent, confirm with the client that primary plus follow-form excess meets it.
Who asks insurance agencies for $5M?
Some agencies carry lower limits, such as $1M to $3M. A $3M limit (see $3M Professional Liability for insurance agencies) may fit a mid-size book. $5M is usually asked for when a program, binding authority or a large benefits client raises the stakes. Smaller agencies may start with $2M Professional Liability for insurance agencies. The request often comes from:
- Carriers and MGAs (managing general agents) that give you a program with authority to bind, underwrite or handle claims.
- Large employers hiring a benefits broker, especially for self-funded plans (the employer pays claims itself).
- Cities, school districts and other public entities naming a broker of record (the broker the buyer officially appoints).
- Large commercial clients with very high property values.
How is $5M built?
A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" means a $3M layer above the first $2M.
Example A: single policy
Example B: two layers
Line the layers up so there is no gap. Ideally, every layer shares the same retroactive date, policy period and named insured (the business the policy covers). A commercial umbrella almost never covers Professional Liability (see Does a commercial umbrella cover Professional Liability?).
Good to know
Benefits work may call for more than E&O. Some benefits consultants also look at fiduciary liability (claims tied to running benefit plans) and employment practices liability (claims from employees). Which forms fit depends on your work and your contracts.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect questions on:
- Revenue (commissions and fees) by line: personal, commercial, life and health, and benefits.
- Your largest accounts by premium and property values.
- Any authority to bind coverage for a carrier (commit it to a policy), underwrite or handle claims, and how you audit it.
- Benefits work: self-funded plans, stop-loss placements (coverage that caps the employer's claim costs) and any role as a fiduciary or administrator.
- Office procedures: written coverage offers, signed rejection forms and certificate controls.
- Often several years of loss runs (past claims reports), any incident that could become a claim, the contract requiring $5M and your current policy.
What affects the cost?
- Business mix. Large commercial accounts, program business and benefits consulting usually carry more claim risk than personal lines.
- Authority you hold. Binding or claims authority usually raises the price.
- How the $5M is built. The primary layer usually costs the most per $1M of limit.
- Claims history. Past claims can shrink the limit offered and raise the price.
- Retention and defense terms. Retention works like a deductible. Many policies pay defense costs inside the limit, meaning legal fees use up part of the $5M. Defense outside the limit usually costs more.
Frequently asked questions
Do I need $5M Professional Liability (E&O) as an insurance agency?
Only if your program agreement, carrier contract or client contract requires it. Hypothetical claims of that size: a client's building burns and was insured far below its value, or a self-funded employer says your advice left a stop-loss gap.
I carry $2M today. How can my insurance agency get $5M?
Request new quotes through Morrow, either a new $5M primary or an excess layer above a primary policy. Morrow can ask carriers to keep your retroactive date, so work you did in past years stays covered (called prior acts coverage), where the market allows. Report anything that could become a claim to your current carrier before that policy ends.
Can a carrier or client be added as an additional insured on my agency's E&O?
Usually not on this kind of Professional Liability. The policy covers your own liability for your services. Many accept a certificate of insurance (a one-page summary of your coverage) that lists every layer, with each policy number, limit and policy period.
Looking for $5M in Professional Liability? Morrow can help.
Send us the E&O requirement from your program agreement or client contract, plus your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary and excess structure, keeping your retroactive date where the market allows.
