$3M Professional Liability (E&O) Insurance for Insurance Agencies

In this guide

For insurance agencies with a carrier, plan sponsor or public entity contract that asks for $3M, one $3M Professional Liability (E&O) policy or a smaller primary plus follow-form excess can meet it.

The short answer

  • An insurance agency can meet a $3M requirement with one $3M primary policy, or with a $1M or $2M primary plus a follow-form excess layer.
  • $3M is on the high end for a small or mid-sized agency. It usually comes with binding authority, large employers or plan sponsors, or a public entity award.
  • $3M is rarely found online, and agencies with binding authority, benefits work or larger revenue usually need a broker. Morrow can help you find it.

What does a $3M requirement mean for insurance agencies?

Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your professional services cost someone money. Most agencies buy a form called insurance agents E&O. A $3M clause might read:

Illustrative contract wording

Broker shall maintain Insurance Agents and Brokers Professional Liability insurance with limits of not less than $3,000,000 per claim and $3,000,000 in the annual aggregate. If coverage is written on a claims-made basis, Broker shall maintain it, or purchase an extended reporting period, for at least three (3) years after this Agreement ends.

Illustrative example only. Your agreement's wording controls.

  • Per claim and aggregate: the most paid for one claim, and for all claims in a policy year.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work on or after the retroactive date (the earliest date of work the policy covers).
  • After the agreement ends: keep every layer in force for three years, or buy a tail (extra time to report claims).
  • Layers: this clause does not mention excess. Confirm with the client that primary plus follow-form excess meets it.

Who asks insurance agencies for $3M?

Many agencies carry $1M or $2M (see $2M Professional Liability for insurance agencies). $3M is less common. Common sources:

  • Carriers or MGAs (managing general agents) that give you binding authority, meaning the power to issue policies on their behalf.
  • Large employers and plan sponsors hiring you as their benefits broker or consultant.
  • Cities, school districts and other public entities naming a broker of record (the agency in charge of their account) through a request for proposal (RFP).

Some contracts, usually for larger benefits or binding relationships, ask for more than $3M. See $5M Professional Liability for insurance agencies.

How is $3M built?

A primary policy pays first. An excess policy pays only after the primary limit is used up. "$1M xs $2M" means a $1M layer above the first $2M.

Example A: single policy

Primary policy$3M / $3M
Total: $3M per claim / $3M aggregate

Example B: two layers

Excess layer$1M xs $2M
Primary policy$2M / $2M
Total: $3M per claim / $3M aggregate

Example C: two layers

Excess layer$2M xs $1M
Primary policy$1M / $1M
Total: $3M per claim / $3M aggregate

The excess should follow form, meaning it uses the same terms as the primary. Every layer should share the same retroactive date and policy period. A commercial umbrella almost never covers Professional Liability, so it usually cannot fill the gap (see does an umbrella cover Professional Liability?).

Good to know

Defense costs count. Many Professional Liability policies pay defense costs inside the limit. See defense costs inside or outside the limit.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms. At $3M, expect a close review.

  • Commission and fee revenue by line, plus your largest accounts.
  • Any binding, underwriting or claims authority, with agreements.
  • Benefits work: number of plan sponsor clients and any fiduciary or administrative role.
  • Office procedures: written coverage offers, signed rejection forms, renewal tracking and file notes.
  • The contract requiring $3M, loss runs (a report of past claims), and your current policy with its retroactive date.

What affects the cost?

  • Business mix. Large commercial accounts and benefits consulting usually cost more to insure than a personal lines book.
  • Authority you hold. Binding or claims authority usually adds risk.
  • How the $3M is built. Excess usually costs less per $1M than the primary layer.
  • Claims history. Past claims can raise prices or lower the limit offered.
  • Retention and defense terms. Retention works like a deductible. A higher one usually lowers the premium.

Frequently asked questions

What kind of claim could reach $3M for an insurance agency?

A single large placement error could reach $3M. Here are some hypothetical examples. An agency with binding authority issues a policy outside the carrier's rules, and the carrier asks the agency to pay for the loss. A benefits broker misses a plan deadline, and many employees lose coverage. A client's warehouse burns, and the client says the agency set up the policy with too little coverage.

I carry $1M or $2M today. How do I get to $3M?

Request new quotes through Morrow, either for a new $3M primary policy or for an excess layer above a primary. Morrow can request quotes that keep your retroactive date and prior acts coverage (coverage for earlier work) where the market allows. Keep your current policy in force until the new coverage starts, and report any possible claim to your current carrier before it ends.

Can my client be added as an additional insured on my agency's Professional Liability?

Usually not. Professional Liability protects you against claims from clients, so naming a client as an insured does not fit the coverage. A certificate of insurance (a one-page proof of coverage) listing every layer is a common way to show proof. Check what your client will accept.

Is $2M enough if my agreement says $3M?

No. If the clause says not less than $3M, a $2M policy alone is below it. A $2M primary plus a $1M follow-form excess layer can reach $3M. Confirm with the client that primary plus follow-form excess meets the clause. Morrow can help you find it.

Looking for $3M in Professional Liability? Morrow can help.

Send us the E&O requirement from your agency agreement or client contract, plus your current policy. Morrow can review both and request quotes for a $3M primary policy or a primary and excess structure, keeping your retroactive date where the market allows.
