$5M Professional Liability (E&O) Insurance for HR Consultants

In this guide

HR consulting firms usually need $5M in Professional Liability (E&O) only when a very large employer or agency requires it, met by one primary policy or a primary plus excess.

The short answer

  • A $5M requirement means your HR consulting firm must carry $5M of Professional Liability for each claim, usually for very large employers or public agencies. Lower limits such as $1M or $2M are more common requests.
  • You may get one $5M primary policy, or a smaller primary plus an excess layer that follows form (uses the same terms).
  • $5M is very rare online. It almost always takes a broker who can request quotes from several types of insurers. Morrow can help you find it.

What does a $5M requirement mean for HR consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client a financial loss. A $5M clause for HR work might read like this:

Illustrative contract wording

Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering the human resources services under this Agreement, with limits of not less than $5,000,000 each claim and $5,000,000 annual aggregate. Limits may be met through a combination of primary and excess policies. If written on a claims-made basis, coverage shall be maintained for three (3) years after the services end.

Illustrative example only. Your contract's wording controls.

  • Each claim and aggregate: the most paid for one claim, and for all claims in the policy year. Here, $5M for both.
  • Claims-made: Professional Liability almost always pays only for claims first made and reported while the policy is active. The work must also be on or after the retroactive date (the earliest work date the policy covers).
  • Primary plus excess: this clause lets you stack policies. If yours is silent, confirm with the client that primary plus follow-form excess meets it.
  • After the work ends: in this example clause, you would renew every layer, with the same retroactive date, for three years. Your contract may differ, so check its wording.

Who asks HR consultants for $5M?

The limit tracks the client's possible loss. You may see $5M from:

  • National employers hiring you for policy or compliance work across many states.
  • Employers planning a layoff, merger or restructuring that affects thousands of workers.
  • Boards hiring you to investigate a senior executive.
  • Companies asking for pay equity or worker classification reviews.
  • Government agencies, hospital systems and banks, where a request for proposal (RFP) often sets the limit.
  • Companies outsourcing large HR or recruiting programs.

See $2M for HR consultants and $3M for HR consultants.

How is $5M built?

A primary policy pays first. An excess policy pays only after the primary limit is used up. "$3M xs $2M" means a $3M layer above the first $2M.

Example A: single policy

Primary policy$5M / $5M
Total: $5M each claim / $5M aggregate

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M each claim / $5M aggregate

Example C: three layers

Excess layer 2$2M xs $3M
Excess layer 1$2M xs $1M
Primary policy$1M / $1M
Total: $5M each claim / $5M aggregate

At $2M, one primary policy is often enough. At $5M, excess layers are another route. Each excess layer should follow form. That means it copies the primary's terms, dates and retroactive date. Many Professional Liability policies pay defense costs inside the limit, so a long dispute can use up the primary before any settlement. See defense costs inside or outside the limit.

Good to know

Check the employment practices wording on every layer. Many forms exclude claims by your own employees. That is EPL (employment practices liability, which covers claims like wrongful termination), a separate policy. Some forms also limit discrimination allegations. Confirm that claims from a client's employees about your HR services are covered on every layer. Back pay under wage-and-hour laws is often excluded, so ask how your form treats classification and pay advice.

What will underwriters ask for?

An underwriter decides whether to offer coverage.

  • Revenue by service, such as investigations, layoffs, compensation, handbooks, training and recruiting, and the largest workforce you advise on.
  • Whether you make hiring, firing and pay decisions, or only recommend.
  • Whether you run payroll, benefits or background checks.
  • The contract requiring $5M and who reviews investigation reports before they go out.
  • Loss runs (a report listing past claims), often for three to five years, any incidents, and your current policy.

What affects the cost?

  • Type of HR work. Layoffs, investigations and classification advice may cost more to insure than training or recruiting support.
  • How the $5M is built. A single $5M primary and a primary plus excess layers may price differently.
  • Claims history. Past claims can shrink the limit and raise the price.
  • Retention and terms. Retention is the amount you pay first on a claim, like a deductible. A higher one usually lowers premium.

Frequently asked questions

Could an HR consulting claim really reach $5M?

Yes, a large layoff claim could reach $5M once defense costs and a settlement add up. In this hypothetical, you design a layoff selection process for a client with several thousand employees. Former workers bring a group discrimination claim, and the client blames your method.

I have $1M or $2M today. How do I get to $5M as an HR consultant?

Request new quotes through Morrow, either a new $5M primary or excess layers. Morrow can ask for quotes that keep your retroactive date and prior acts coverage (coverage for work done before the new policy starts) where the market allows. Report anything that could become a claim to your current carrier before that policy ends.

Can I use my commercial umbrella to reach $5M?

Almost never. A commercial umbrella usually excludes professional services. You usually need follow-form excess Professional Liability. See Does an umbrella cover Professional Liability?

Can my client be added as an additional insured?

Usually not. Professional Liability protects you against client claims. Some clients accept a certificate of insurance (a document that proves you have coverage) that lists every layer with its policy number, limit and dates. Check your contract wording.

Looking for $5M in Professional Liability? Morrow can help.

Send us the insurance requirement from your client contract and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary and excess structure, keeping your retroactive date where the market allows.
