For HR consultants whose client contract asks for $3M: a $3M Professional Liability (E&O) requirement is usually met with one $3M primary policy or a smaller primary plus follow-form excess.
The short answer
- A $3M requirement means your Professional Liability (E&O) must pay up to $3M per claim, usually through one $3M primary policy or a smaller primary plus follow-form excess (a higher layer that adopts the primary's terms).
- Many HR consulting contracts ask for $1M or $2M, so $3M usually signals a large employer, public agency or high-stakes project.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for HR consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client financial loss. A $3M clause might read:
Illustrative contract wording
Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering all human resources advisory, investigation and workforce services under this Agreement, with limits of not less than $3,000,000 per claim and $3,000,000 annual aggregate. If written on a claims-made basis, coverage shall be maintained for at least three (3) years after the services end.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in one policy year. Here, both are $3M. See Professional Liability limits explained.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest work date covered).
- Layers: this clause is silent on stacking policies. Confirm with the client that primary plus follow-form excess meets it.
- After the work ends: this example asks for three years of coverage. Check your own contract.
Who asks HR consultants for $3M?
Many HR consulting contracts ask for $2M or $1M. A $3M request is less common and signals a client that sees a large possible loss. If a client asks for more than $3M, see $5M for HR consultants. Typical $3M requesters include:
- National employers with one insurance standard for all advisors.
- Companies planning multi-site layoffs.
- Boards and law firms hiring you to investigate an executive.
- Hospitals, universities and public agencies with vendor rules.
- Staffing and recruiting clients, who may also ask about separate employment practices liability (EPL, which covers employment claims against your own firm).
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used. "$1M xs $2M" means a $1M layer above the first $2M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date, policy period and named insured (the business the policy covers). A commercial umbrella almost never covers Professional Liability, so it usually cannot fill the upper layer (see Does an umbrella cover Professional Liability?).
One HR-specific check: Professional Liability policies generally exclude employment claims by your own staff, the separate EPL exposure. Coverage for claims from advice you gave a client, such as a layoff or discrimination dispute, varies by form. Some HR consulting forms cover it. Others limit it by exclusion or sublimit (a smaller cap inside the limit). The excess follows the primary's wording, so read the exclusions and definitions before assuming $3M responds. Many policies also pay defense costs inside the limit.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect questions like:
- Revenue by service: handbooks, investigations, pay equity, benefits, recruiting.
- How many layoffs you advised on last year.
- Who runs your investigations, and whether a lawyer reviews your reports.
- Whether you make hiring or firing decisions or only recommend.
- Whether you handle payroll, benefits, client funds or background checks, where report errors can lead to claims.
- The $3M contract, your engagement letter, prior claims or incidents, and your current policy with its retroactive date.
What affects the cost?
- Type of HR work. Investigations and layoffs often cost more to insure than training.
- How the $3M is built. The primary layer often costs more per $1M of limit than the excess above it, but this varies.
- Claims history. Past claims can raise the price or shrink the limit offered.
- Retention and defense terms. Retention is what you pay on each claim before the policy pays, like a deductible. A higher one may lower the price.
Frequently asked questions
Do I need $3M Professional Liability as an HR consultant?
Only if your contract or client requires it. Many HR consulting contracts ask for $1M or $2M, and $3M usually comes from larger or high-stakes clients.
What kind of claim could reach $3M for an HR consultant?
A claim could reach $3M when your advice is blamed for a large, multi-person loss. Hypothetical: you design the selection criteria for a layoff across four sites. Former workers sue your client for discrimination, and the client blames your criteria.
I have $1M or $2M today. How do I get to $3M?
Request new quotes through Morrow for a $3M primary policy or an excess layer above a new primary. We can ask carriers to keep your retroactive date and prior acts coverage (coverage for work done before the new policy began) where the market allows. Many people keep the current policy until a new one starts, and report anything that could become a claim to the current carrier first. A small firm may be offered only $1M or $2M. $3M usually needs a broker. Morrow can help you find it.
Can my client be added as an additional insured?
Usually not. Professional Liability protects you against claims from clients. Many clients ask for a certificate of insurance instead, a one-page summary listing each layer with its policy number, limit and dates.
Looking for $3M in Professional Liability? Morrow can help.
Send us the insurance requirement from your client contract and your current policy. Morrow can review both and request quotes for a $3M primary or a primary plus excess, keeping your retroactive date where the market allows.
