$5M Professional Liability (E&O) Insurance for Non-Clinical Healthcare Staffing Agencies

In this guide

A health system or health plan asking your non-clinical healthcare staffing agency for $5M Professional Liability (E&O) can often be satisfied with one $5M policy or a smaller primary plus excess layers.

The short answer

  • A $5M requirement often means your agency must show $5M per claim and in the aggregate, but your contract's wording controls.
  • $5M may come from one primary policy, if a carrier offers it, or from a smaller primary plus excess layers (extra limit above the primary).
  • $5M is very rare online and almost always requires a broker. A broker can request quotes from specialty markets (insurers that cover risks standard insurers often decline). Morrow can help you find it.

What does a $5M requirement mean for non-clinical healthcare staffing agencies?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your services caused a client a financial loss. For your agency, that may include mistakes by the coders and billers you place. A $5M clause might read like this:

Illustrative contract wording

Vendor shall maintain Professional Liability (Errors and Omissions) insurance with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate, covering the acts, errors and omissions of Vendor and all assigned personnel. If coverage is claims-made, Vendor shall maintain it for three years after termination. Limits may be met through primary and excess policies.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: $5M is the most paid for one claim, and for all claims in one policy year. See how limits are written.
  • Claims-made: Professional Liability is almost always written on a claims-made basis. The policy covers claims made and reported while it is active, for work after the retroactive date (the earliest covered work date).
  • Primary plus excess: the last sentence allows it. If your clause is silent, confirm with the client that primary plus excess meets it.

Who asks healthcare staffing agencies for $5M?

Smaller clinics may ask for $1M or $2M, and some hospitals may ask for $3M. A $5M request is less common and may come from:

  • Large multi-state health systems that may use the same insurance requirements for many vendors.
  • National and regional health plans placing temps in claims payment, enrollment or appeals.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" means $3M above the first $2M. A stack of them is a tower.

Example A: single policy

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: primary plus excess

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Each excess layer should follow form, meaning it uses the primary policy's terms. Every layer should share the same retroactive date, policy period and named insured (the business the policy covers).

Many policies pay defense costs inside the limit, so legal fees reduce what is left for a settlement. If you place nurses or other licensed clinicians, you usually need medical professional liability (malpractice) coverage too.

At $2M or $3M, one primary policy may be easier to place, though $3M is also rarely found online. Morrow can help you find it. See the $3M guide. At $5M, one policy depends on the carrier and your agency, so primary plus excess may be needed.

Good to know

Clients may ask for Cyber too. Cyber Liability covers data breach costs, which Professional Liability usually does not. See Professional Liability vs Cyber.

What will underwriters ask for?

  • Revenue by role and client.
  • Which workers touch billing, coding, claims payment or eligibility decisions, and who reviews their work.
  • Your hiring checks: background screens, coding credentials and exclusion list checks (screens against government lists of barred workers).
  • Patient data access, privacy training and business associate agreements (contracts on protecting patient information).
  • The contract asking for $5M and your standard staffing agreement, including indemnity terms (promises to repay the client for certain losses) and any limitation of liability clause (a cap on what you owe a client).
  • Several years of loss runs (a report listing past claims) and your current policy.

What affects the cost?

  • Roles placed. Coding, billing and claims payment work may cost more to insure than scheduling or reception.
  • Client concentration. Relying on one large client may raise the price.
  • How the $5M is built. One policy and a primary plus excess can price differently, and the result depends on the markets that respond.
  • Claims history and size. Past claims and higher revenue may raise premium.
  • Retention and defense terms. A retention works like a deductible. A higher one may lower premium.

Frequently asked questions

Can a claim against a non-clinical healthcare staffing agency reach $5M?

It can, because one error may repeat across many claims. Hypothetical example: billers you place submit claims with coding errors for months, and the health system sues for denied claims, rework costs and repaid payments. Repayment of overpayments, fines and penalties, and returned fees are often excluded or disputed, so coverage depends on the policy wording.

Can I use my commercial umbrella to reach $5M?

Almost never. A commercial umbrella (extra liability limit above your general liability policy) usually excludes professional services, so it will not stand in for Professional Liability. Read more on umbrellas.

Can I add my health system or health plan client as an additional insured on $5M Professional Liability?

Usually not. Most Professional Liability policies do not let you add a client as an additional insured (a party with direct protection under your policy). Some carriers may allow it when a written contract requires it, for liability from your services only. At $5M, each excess layer would also need to follow form for it. Many clients accept a certificate of insurance (a one-page coverage summary) listing every layer, though it does not make the holder an insured.

My staffing agency has $2M Professional Liability today. How do I get to $5M?

Request quotes for a new $5M primary policy or a primary with excess layers. Morrow can request them and ask carriers to keep your retroactive date and prior acts coverage (cover for work done before the policy starts) where the market allows. Report anything that could become a claim to your current carrier before it ends.
