$5M Professional Liability (E&O) Insurance for Healthcare Consultants

In this guide

Hospitals and health plans sometimes ask healthcare consultants for $5M Professional Liability (E&O), and one primary policy or a primary plus excess layer may meet it.

The short answer

  • $5M Professional Liability (E&O) means your policy limits must total $5M, and healthcare consultants may meet it with one $5M primary policy or a smaller primary plus follow-form excess.
  • Large hospital system and health plan contracts may require it. An excess layer that follows form uses the same terms as the policy below it.
  • $5M is very rare online and almost always requires a broker. Morrow can help you find it.

What does a $5M requirement mean for healthcare consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client financial loss. For healthcare consultants, that often means coding or billing errors. A clause might read:

Illustrative contract wording

Vendor shall maintain Professional Liability (Errors and Omissions) insurance with limits of not less than $5,000,000 per claim and $5,000,000 annual aggregate, covering all services under this Agreement, including coding and billing services. Limits may be met through primary and excess policies. If claims-made, coverage shall continue for three (3) years after the Agreement ends.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: the most paid for one claim, and for all claims in a year.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work after the retroactive date (earliest covered work date).
  • Silent on layers: if the clause does not mention excess, confirm with the client that primary plus follow-form excess meets it.

Who asks healthcare consultants for $5M?

Lower limits are common in healthcare consulting contracts. $5M is less common, but large hospital system and health plan agreements may ask for it:

  • Large hospital systems outsourcing coding, billing or denied claims work.
  • Health plans hiring vendors for claims review or coding.
  • Public health programs, where the request for proposal (RFP) may set the limit.

A $2M requirement is often met by one primary policy. $3M may use a primary plus one excess layer. $5M often means a larger primary or follow-form excess layers, and underwriters usually ask for more detail on billing and coding volume. See $3M for healthcare consultants, $2M for healthcare consultants and the healthcare vendor guide.

How is $5M built?

A primary policy pays first. An excess policy pays only after the primary limit is used up. "$3M xs $2M" means a $3M layer above the first $2M.

Example A: one policy

Primary policy$5M / $5M
Total: $5M / $5M

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M / $5M

Layers often share the same retroactive date, policy period (the dates the policy is active) and named insured (the business covered).

The right form depends on your work. Advice-only work may fit Miscellaneous Professional Liability (a general advice form). Coding, billing and claims work often needs a healthcare or medical billing E&O form. Software work may fit Technology E&O (a form for software services). Clinicians who treat patients usually buy medical malpractice insurance instead.

Read the exclusions (what the policy will not pay for). Many forms limit claims where a payer wants overpayments or fees returned. Many also limit fines, penalties and government fraud claims. Compare these with your contract.

A commercial umbrella (extra liability cover that sits over your general liability policy) almost never covers Professional Liability. If you carry less than $5M today, request new quotes through Morrow for a higher primary or excess layers. Ask to keep your retroactive date and prior acts coverage (cover for earlier work) where the market allows. Report known incidents to your current insurance company before switching.

Good to know

Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit, so a long dispute can wear down layers. See defense costs inside or outside the limit.

What will underwriters ask for?

Underwriters (who decide whether to offer coverage) may ask about:

  • Your services and the revenue share of each, such as coding, billing or compliance work.
  • Whether you submit payer claims for clients or only advise, and how work is reviewed.
  • What patient data you handle, and any business associate agreements (contracts on protecting patient health data).
  • Your largest clients and any fees tied to recoveries.
  • Loss runs (a report of past claims), known incidents and your retroactive date.

What affects the cost?

  • Type of work. Hands-on coding and billing often costs more than strategy. Work that submits payer claims or touches patient data may be rated differently from advice-only work.
  • Revenue and client size. Big clients mean bigger losses.
  • How the $5M is built. The primary layer often costs the most per $1M.
  • Claims history. Past claims can shrink the limit offered.
  • Retention. This is what you pay on each claim first, like a deductible.

Frequently asked questions

What kind of claim could reach a $5M Professional Liability limit for a healthcare consultant?

A large, repeated error could. Hypothetically, a consultant codes for a health plan. An audit later finds the same mistake in thousands of claims, and the plan says it lost money. Related errors are often treated as one claim. Whether a policy responds depends on its wording.

Can a small healthcare consulting firm get $5M Professional Liability?

Sometimes, depending on underwriting. Underwriters may offer smaller firms a lower limit, depending on revenue, services and claims history. Some build $5M with a smaller primary plus follow-form excess, but it usually needs a broker. Morrow can help you find it.

Can a hospital be added as an additional insured on my $5M Professional Liability?

Usually not. Clients usually cannot be added as an additional insured (a party the policy protects) on Professional Liability. Some clients accept a certificate of insurance listing every layer with its policy number, limit and policy period. A certificate shows coverage but does not make the client an insured. Check your contract.

Does $5M Professional Liability cover a patient data breach for a healthcare consultant?

Usually not. Many Professional Liability forms exclude or limit data-breach claims. Cyber insurance is a separate policy built for data breach response costs, so ask how your policies fit together.
