If a hospital system or health plan asks your healthcare consulting firm for $3M, Professional Liability (E&O) is usually met with one $3M primary policy or a smaller primary plus excess cover.
The short answer
- $3M Professional Liability (E&O) for a healthcare consultant is usually met with one $3M primary policy or a smaller primary plus a follow-form excess layer, and it most often comes from hospital systems and health plans.
- $3M is above the usual $1M to $2M. An excess layer is extra cover above the primary. Follow form means it uses the primary's terms.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for healthcare consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client financial loss. For healthcare consultants, clients may allege lost revenue, denied claims or recoupment (a payer taking back payments).
Policies often exclude or cap repayment of overpayments, fines and penalties, so check the billing and coding wording. Health clients may also ask for Cyber (cover for data breach costs). A $3M clause might read like this:
Illustrative contract wording
Vendor shall maintain Professional Liability (Errors and Omissions) insurance with limits of not less than $3,000,000 per claim and $3,000,000 annual aggregate, including coding and billing services. Vendor shall also maintain Cyber Liability insurance. If written on a claims-made basis, coverage shall be maintained for three (3) years after termination. Limits may be satisfied by primary and excess policies.
Illustrative example only. Your contract controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year. See limits explained.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work after the retroactive date (the earliest work date covered).
- Primary plus excess: the last sentence lets you stack policies. If it is silent, confirm with the client that primary plus follow-form excess meets the clause.
- After the contract ends: clauses like this usually require you to keep every layer in force for the years named. Check the exact wording in your contract.
Who asks healthcare consultants for $3M?
Healthcare consultants are most often asked for $1M or $2M. $3M comes up when the client is large or your work touches a lot of revenue. Payers with high claim volume sometimes ask for $5M, so $3M often sits between the two:
- Hospital systems onboarding revenue cycle or coding audit vendors.
- Health plans hiring firms for payment integrity or risk adjustment coding.
- Academic medical centers using one vendor template.
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$1M xs $2M" means $1M above the first $2M.
Example A: single policy
Example B: two layers
The excess should follow form and share the primary's retroactive date. Many non-clinical healthcare consultants buy Miscellaneous Professional Liability, a general form for advisory firms. If you sell software, Technology E&O may fit better. Clinicians who treat patients need medical malpractice instead.
A commercial umbrella almost never covers Professional Liability. If you carry $1M or $2M today, request new quotes through Morrow for a $3M primary or a new primary plus excess, keeping your retroactive date and prior acts coverage (cover for past work done before the new policy starts) where the market allows.
Additional insured status (listing a client on your policy as a party it also protects) is usually not available on Professional Liability. If your contract asks for it, send the clause to Morrow so it can be reviewed when quotes are requested. Many clients accept a certificate of insurance (one-page proof of coverage) that lists every layer. It gives the client no rights under the policy.
Good to know
Defense costs can shrink the limit. Many policies pay defense costs inside the limit, so a long dispute can use up part of the $3M.
What will underwriters ask for?
Underwriters (who decide whether to offer coverage) often ask about:
- Your services by share of revenue, such as coding or billing.
- Whether you submit claims to payers or only advise.
- Coder credentials, audit sampling and second review.
- Fees tied to collections, and the dollar volume of claims you touch.
- Patient data you access and the business associate agreements (contracts on protecting health data) you sign.
- The contract, largest clients, loss runs (a report of past claims) and current policy.
What affects the cost?
- Type of work. Hands-on coding usually costs more than strategy work.
- Revenue and claim volume. More dollars flowing through your work can mean bigger losses.
- How the $3M is built. The primary layer usually costs the most per $1M of limit.
- Claims history. Past billing disputes can raise the price or narrow the limit.
- Retention and defense terms. Retention works like a deductible.
Frequently asked questions
Do I need $3M Professional Liability as a healthcare consultant?
Usually when your contract or client requires it. Hospital systems and health plans often do, especially for coding or billing work. Send Morrow your contract and Morrow can review the requirement.
Is $2M enough if my contract says $3M?
No. If the clause says "not less than $3M," a $2M policy alone does not meet it. A $2M primary plus $1M follow-form excess can reach $3M. Illustrative example: a consultant reviews coding for a health system, and a payer audit takes back payments on thousands of claims.
Does Professional Liability cover a data breach?
Often not fully. Cyber insurance is built for breach costs such as notifying patients.
How long does it take to get $3M Professional Liability in place?
Timing varies by carrier and by how complete your information is. An excess layer can add review time, so send the contract and current policy early. If you know of an incident that could become a claim, report it to your current carrier before you switch. Morrow can help you find the coverage.
