$5M Professional Liability (E&O) Insurance for Fractional CFOs and Controllers

In this guide

Fractional CFOs and controllers asked for $5M often meet it with a smaller primary plus follow-form excess, and it usually needs a broker. Morrow can help you find it.

The short answer

  • Fractional CFOs and controllers often meet a $5M requirement with a smaller primary policy plus follow-form excess layers (extra limit that sits above the primary), if the market offers it for your work.
  • A single $5M primary is available from fewer carriers, and what you can get depends on your size, services and client mix.
  • $5M is very rare online and almost always requires a broker. Morrow can help you find it.

What does a $5M requirement mean for fractional CFOs and controllers?

Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your advice or work cost a client money. A $5M clause might read like this:

Illustrative contract wording

Provider shall maintain Professional Liability insurance covering the outsourced CFO, controller, accounting and tax compliance services performed for the Company and its subsidiaries, with limits of not less than $5,000,000 per claim and in the aggregate. Limits may be satisfied by a combination of primary and excess policies. Claims-made coverage shall have a retroactive date no later than the start of services.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: $5M for one claim and $5M for all claims in a policy year.
  • Subsidiaries: confirm the policy covers work for the client's subsidiaries.
  • Claims-made: the policy covers claims made and reported while it is active, for work on or after the retroactive date (the earliest date of work covered).
  • Layering: this clause allows primary plus excess. If yours is silent, confirm with the client that primary plus follow-form excess meets it.

Who asks fractional CFOs and controllers for $5M?

It often comes from clients where one error could move a deal or loan:

  • Larger private equity sponsors, on some portfolio or platform-company vendor terms.
  • Large enterprises outsourcing finance work under a master services agreement (see MSA insurance requirements).
  • Companies in a large sale or merger, where you lead the numbers.
  • Borrowers with large loans, where the lender relies on your reports.
  • CPA and advisory firms passing a client's limit down to you.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" means a $3M layer above the first $2M.

Example A: single policy (less common)

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Example C: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M per claim / $5M aggregate
Block height shows the size of each limit.

Each excess layer should follow form, meaning it uses the primary policy's terms. Match the retroactive date, policy period and named insured (the business or person the policy covers) across every layer. Many policies pay defense costs inside the limit, so a long dispute can drain a layer.

Need a lower limit? See $3M or $2M for fractional CFOs and controllers.

Non-CPA fractional CFOs and controllers usually buy Miscellaneous Professional Liability (a general form for advisory work) or management consulting Professional Liability, or a bookkeeper or tax preparer form where eligible. Accountants Professional Liability is generally for CPA firms, so a fractional CFO who is a CPA may qualify for it. Many Miscellaneous forms exclude or restrict accounting, tax and payroll work unless it is listed on the policy, so the covered services must match what your contract has you do. A commercial umbrella almost never covers Professional Liability.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms.

  • Revenue by service: CFO advisory, close work, forecasting, fundraising, sale support, payroll and tax filings.
  • Your largest clients: their size, debt, ownership, and any raise, loan or sale.
  • Officer roles: whether you hold a CFO title, sign lender certificates, or are covered by the client's directors and officers (D&O) policy.
  • Money controls: whether you can approve payments or move funds, and who else signs off.
  • Engagement letters, CPA status, loss runs (a report of past claims) and your current policy.

What affects the cost?

  • Deal and lender work. Sale support and reports that prove loan terms are met usually cost more than monthly close work.
  • Client size. Larger or heavily financed clients mean bigger possible losses.
  • How the $5M is built. The primary layer usually costs the most per $1M of limit.
  • Claims history. Past claims can shrink the limit offered and raise the price.
  • Retention and defense terms. Retention works like a deductible. A higher one usually lowers cost.

Frequently asked questions

Do I need $5M Professional Liability as a fractional CFO or controller?

Whether you need $5M depends on your work and your contracts, and many fractional CFOs and controllers carry it because a contract or client asks for it. These claim examples are hypothetical. A buyer says the adjusted earnings you prepared for a sale were overstated and seeks money back. A report you prepared for a lender overstated what customers owe, and the lender says it lent too much. Policies usually do not pay unpaid taxes or, in many cases, fines and penalties.

How do I get from $2M to $5M Professional Liability as a fractional CFO?

Request new quotes through Morrow, either a new $5M primary or excess layers above a primary policy. Morrow can request quotes that keep your retroactive date and coverage for past work (prior acts) where the market allows. Report anything that could become a claim to your current carrier first. See retroactive dates.

Can my client be added as an additional insured on my Professional Liability?

Usually not. Professional Liability protects you, not your client. Clients often accept a certificate of insurance (one-page proof of coverage) listing every layer, but check your contract.

How long does it take to put $5M in place?

Timing varies, and it can take longer when you need excess layers, because excess carriers may wait for the primary terms.

Looking for $5M in Professional Liability? Morrow can help.

Send us the contract requirement and your current policy. Morrow can review both and request quotes for a $5M primary or a primary plus excess, keeping your retroactive date where the market allows.
