For fractional CFOs and controllers, a $3M Professional Liability requirement is usually met with one $3M primary policy or a smaller primary plus a follow-form excess layer.
The short answer
- $3M Professional Liability means the policy can pay up to $3M per claim for a client's financial loss from your work.
- It is often one $3M primary policy, or a $1M or $2M primary plus a follow-form excess layer.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for fractional CFOs and controllers?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or work caused a client a financial loss. A $3M clause might read like this:
Illustrative contract wording
Contractor shall maintain Professional Liability insurance covering the services under this Agreement, with limits of not less than $3,000,000 per claim and $3,000,000 in the annual aggregate. If written on a claims-made basis, the retroactive date shall be no later than the start of services, and coverage shall be maintained for three (3) years after this Agreement ends.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest date of work covered).
- Three years after: renew every layer with the same retroactive date, or buy an extended reporting period (a "tail," extra time to report claims after a policy ends) on each policy, including the excess.
- Stacking: clauses often do not say whether policies can be combined. Confirm with the client that primary plus follow-form excess meets it.
Who asks fractional CFOs and controllers for $3M?
$3M often shows up when the client's own exposure is larger:
- Private equity owned companies where you report to a sponsor and a board.
- Later-stage startups raising a large round.
- Companies preparing for a sale or merger.
- Borrowers with large credit lines, where the lender relies on your reports that show the company meets its loan terms (called covenants).
- Larger companies outsourcing finance functions under a master services agreement (the main contract that sets terms for all work; see MSA insurance requirements).
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer above the first $1M. At $2M, one primary policy often works (see $2M for fractional CFOs). At $5M, a broker is almost always needed (see $5M for fractional CFOs). Morrow can help you find it.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date, policy period and named insured (the person or firm the policy covers). Non-CPA fractional finance firms usually buy Miscellaneous Professional Liability. CPA firms usually buy Accountants Professional Liability. A commercial umbrella almost never covers Professional Liability.
Good to know
Defense costs count. Many Professional Liability policies pay defense costs inside the limit, so confirm each layer treats them the same way.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Carriers may ask about:
- Revenue split by service, such as controller work, fundraising, sale support and tax filings.
- Your largest clients, their ownership, debt levels and deal activity.
- Whether you hold an officer title or sign statements or certifications for lenders, investors or buyers.
- Whether you can move client money, approve payments or remit payroll taxes.
- Your review process and signed engagement letters.
- Loss runs (a report of past claims), fee disputes, and your current policy and retroactive date.
What affects the cost?
- Type of work. Fundraising, sale support and tax work usually cost more than close and reporting work.
- Client mix. Heavily financed or deal-active clients usually mean bigger possible losses.
- How the $3M is built. Primary usually costs more per $1M than excess.
- Claims history. Past claims can lower the limit offered and raise the price.
- Retention and defense terms. Retention works like a deductible. A higher one usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
What kinds of claims could reach $3M?
Claims that involve a sale, a loan or an investor decision. Hypothetical examples: a buyer cuts its price after finding that the profit figures you prepared for the sale overstated profit, and the seller blames you for the lost price. A lender calls a loan after covenant reports you prepared for the company prove wrong, and the company blames you. Coverage depends on the policy wording, and many policies limit or exclude unpaid taxes, penalties and handling of client funds.
I already have $1M or $2M. How do I get to $3M?
Request new quotes through Morrow, either a new $3M primary or a follow-form excess layer above a primary. Morrow can ask carriers to keep your retroactive date and prior acts coverage where the market allows. Report anything that could become a claim to your current carrier before you switch.
Does the policy cover me if the client names me CFO?
Not always. Some policies exclude acts as an officer. The client's directors and officers (D&O) policy, which covers company leaders, may or may not include you. Check the policy wording.
Can my client be added as an additional insured?
Not by default, and availability varies by carrier, so confirm before you agree to the clause. Many clients accept a certificate of insurance (a one-page proof of coverage) instead. A certificate generally only shows coverage and usually gives the holder no rights under the policy. It should show every layer (see certificates for Professional Liability).
