If a global company or private equity client asks your executive search firm for $5M in Professional Liability, you can often meet it with one $5M primary policy or a smaller primary plus follow-form excess layers.
The short answer
- Executive search firms can often meet a $5M requirement with one $5M primary policy or a smaller primary plus excess layers (extra limit that sits on top) that follow the primary's terms.
- $5M usually shows up in master agreements with global companies and large private equity sponsors.
- $5M is very rare online and almost always needs a broker. A broker can ask several types of insurers on your behalf. Morrow can help you find it.
What does a $5M requirement mean for executive search firms?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your services caused a client a financial loss, such as a claim about how you vetted a candidate. A $5M clause might read:
Illustrative contract wording
Supplier shall maintain Professional Liability (Errors and Omissions) insurance covering executive search, candidate assessment and referencing services, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. Coverage may be provided through primary and excess policies. If written on a claims-made basis, coverage shall be maintained for three (3) years after the termination of this Agreement.
Illustrative example only. Your agreement's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in one policy year. Both are $5M here. See Professional Liability limits explained.
- Primary and excess allowed: this clause lets you stack policies. If yours is silent, confirm with the client that primary plus follow-form excess meets it.
- Claims-made: the policy covers claims made and reported while it is active, for work done on or after the retroactive date (the earliest work date covered). See claims-made vs. occurrence.
- After the agreement ends: in this example, the clause would require every layer to stay in place, with the same retroactive date, for three years. Your agreement may differ.
Who asks executive search firms for $5M?
$5M requests often come from:
- Global companies that use one vendor agreement for every supplier.
- Private equity firms with one master agreement for searches across many portfolio companies.
- Banks, insurers and large health systems hiring for senior or regulated roles.
At $3M for executive search firms, one primary or a primary plus one excess layer may be enough. At $5M, the tower may need more layers, and each layer goes through its own underwriting review.
How is $5M built?
A primary policy pays first. An excess policy pays only after the limit below it is used up. "$3M xs $2M" means a $3M layer that sits above the first $2M.
Example A: single policy
Example B: two layers
Example C: three layers
Each excess layer should follow form, meaning it adopts the primary policy's terms. All layers should share the same policy period and named insured (the business listed as the policy owner). Many Professional Liability policies pay defense costs inside the limit, so check that each layer treats defense the same way (see defense costs inside or outside the limit).
Search firms often buy a Miscellaneous Professional Liability form (a general form for firms whose services do not fit a standard profession) or a staffing form. Candidate discrimination claims usually belong under employment practices liability (EPL) with third-party coverage, not this policy. A commercial umbrella almost never covers Professional Liability.
What will underwriters ask for?
Underwriters (the insurer's reviewers) may ask about:
- Your mix of retained work (paid up front), contingency work (paid only if you fill the role) and outsourced recruiting (RPO), plus the seniority of the roles you fill.
- How you verify degrees, work history and references, and whether a screening company helps.
- Whether clients rely on your written candidate reports, leadership assessments, or personality and skills tests.
- How you track off-limits agreements (promises not to recruit from a client's staff) across offices and partners.
- The master agreement asking for $5M, any indemnity (a promise to cover the client's losses) in it, and your replacement guarantee.
- Revenue, largest fees, three to five years of loss runs (a report of past claims) and your current retroactive date.
What affects the cost?
- Role level and client type. CEO, board and regulated-role searches may cost more to insure.
- How the $5M is built. Primary limit often costs more per $1M than excess limit.
- Claims history. Past claims can limit offers and raise prices.
- Retention and defense terms. Retention works like a deductible. A higher one usually lowers premium.
Frequently asked questions
What kind of claim could reach $5M for an executive search firm?
A claim over a senior placement that went wrong can grow large. Here is a hypothetical. You place a CEO at a private equity portfolio company after checking references. The sponsor later learns the CEO left a prior job over undisclosed misconduct, and blames your vetting for a failed deal and a new search.
I carry $2M today. How do I get to $5M as an executive search firm?
Request new quotes through Morrow for a new $5M primary or for excess layers above a primary. Morrow can request quotes that aim to keep your retroactive date and prior acts coverage where the market allows (see retroactive dates). Report any known incidents to your current carrier before you switch.
Can my client be added as an additional insured on my executive search firm's Professional Liability?
Usually not. Many clients accept a certificate of insurance (a one-page proof of coverage) that lists every layer, with each policy number, limit and policy period. Check your agreement to see what your client requires.
Do I need $5M Professional Liability as an executive search firm?
Only if your agreement or client requires it, so check the insurance section first. If it says $5M, $3M would fall short, so you would need more limit, such as excess layers.
