Executive search firms asked for $3M: your Professional Liability (E&O) must pay up to $3M per claim and in total, through one policy or a primary plus excess layer.
The short answer
- A $3M requirement means your Professional Liability pays up to $3M per claim and in total for the policy year. Large companies, private equity firms and banks usually ask executive search firms for it.
- It may be one $3M primary policy, or a $1M or $2M primary plus a follow-form excess layer on top.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for executive search firms?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your services caused a client a financial loss. A $3M clause in a search agreement might read:
Illustrative contract wording
Search Firm shall maintain Professional Liability insurance covering executive search, assessment and advisory services with limits of not less than $3,000,000 per claim and $3,000,000 in the aggregate. Such limits may be satisfied by a combination of primary and excess policies. Coverage shall remain in force for three (3) years following the final placement under this Agreement.
Illustrative example only. Your agreement's wording controls.
- Per claim and aggregate: the policy pays up to $3M for one claim and up to $3M for all claims in a policy year. See limits explained.
- Primary plus excess: this clause allows stacking. If yours is silent, confirm with the client that primary plus follow-form excess meets the clause.
- Claims-made: Professional Liability almost always covers claims made while the policy is active. That is why the clause requires coverage after the last placement.
Who asks executive search firms for $3M?
Some search firms carry $1M or $2M. It often comes from:
- Large companies whose master service agreement (MSA) sets one limit for all vendors.
- Private equity firms with CEO and CFO searches across several portfolio companies.
- Boards running confidential CEO succession searches.
- Health systems, public universities and government entities that publish limits in a request for proposal.
- Banks and insurers hiring for regulated leadership roles.
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer that sits above the first $1M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it uses the same terms as the primary policy. Every layer should share the same retroactive date (the earliest work date covered), policy period and named insured (the business the policy covers). Many Professional Liability policies pay defense costs inside the limit, so check that each layer treats defense alike.
Compared with $2M, a $3M requirement usually means adding an excess layer or buying a larger primary. If your contract asks for more, see $5M for executive search firms.
Professional Liability is only one piece. Discrimination claims from candidates, or from a client's own employees, are often excluded or limited under Professional Liability. Employment practices liability (EPL) is a separate policy for hiring and employment claims. It usually covers a firm's own staff and applicants, and covers outside candidates only with a third-party extension, so check both policies. A commercial umbrella almost never covers Professional Liability.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect questions like these:
- Your mix of retained (paid in stages), contingency (paid on a hire) and multi-search work, and the share of CEO and board searches.
- Whether you sell assessments, succession planning or compensation advice alongside search.
- How you check credentials and references, and how you screen candidates for non-compete and confidentiality limits.
- How you protect confidential searches, track off-limits agreements (promises not to recruit a client's staff) and handle interim roles.
- Your revenue, your largest fee and the contract that requires $3M.
- Five years of loss runs (a report of past claims), plus your current policy and retroactive date.
What affects the cost?
- Search level and fee size. Board and C-suite work usually costs more to insure.
- Advisory services. Assessments and written opinions add risk.
- How the $3M is built. The primary layer usually costs the most per $1M of limit. Excess is usually priced lower per $1M.
- Claims history. Past claims can limit what a carrier offers.
- Retention and defense terms. A retention works like a deductible. A higher one usually lowers premium.
Frequently asked questions
Do I need $3M Professional Liability (E&O) as an executive search firm?
Only if your contract or client requires it. Here is a hypothetical of why clients ask. You place a division president whose notes show no binding non-compete. Her former employer sues her and the client, and the client sues your firm for its legal costs and lost business. Defense can use up much of the limit. Fee refunds are often excluded.
Can an executive search firm get to $3M if it has $1M or $2M today?
It may be, depending on underwriting. Request new quotes through Morrow, either for a new $3M primary policy or for excess layers above a primary. Morrow can ask carriers to keep your retroactive date and prior acts coverage (coverage for past work done before the new policy starts) where the market allows. Report any known incident to your current carrier before you switch.
Can a client be named as additional insured on my executive search Professional Liability?
Usually not. Professional Liability protects you against claims from clients, so naming a client as an insured does not fit the coverage. Many clients accept a certificate of insurance that lists each layer, its limit and its policy period. Check your agreement to see what your client requires.
Is $3M available to a small executive search firm?
It may be, but it depends on underwriting. Revenue, services and claims history all matter. A carrier may offer less than $3M, add conditions such as a higher retention, or decline. $3M is rarely found online. Morrow can help you find it.
