A $5M Professional Liability (E&O) requirement means a tutor, trainer or education consultant's contract wants up to $5M per claim for teaching or advice errors. It is often met with a primary policy plus extra layers on top.
The short answer
- A $5M requirement means you need $5M per claim of Professional Liability, usually built as a $1M or $2M primary policy plus follow-form excess layers.
- It is uncommon for this field. Many contracts ask for $1M or $2M.
- $5M is very rare online and almost always needs a broker. A broker can ask excess and surplus lines (E&S) insurers, which are specialty insurers that write harder-to-place risks. Morrow can help you find it.
What does a $5M requirement mean for tutors, trainers and education consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your teaching, training or advice caused a client a financial loss. Hypothetical example: a company says a safety course taught outdated rules. A $5M clause might read like this:
Illustrative contract wording
Contractor shall carry Professional Liability insurance with limits of at least $5,000,000 per claim and $5,000,000 aggregate, maintained for three (3) years after the contract ends. Excess or umbrella policies that follow the form of the primary policy may be used to meet these limits.
Sample wording for illustration only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year. Both are $5M.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active. The retroactive date is the earliest date of work it covers.
- "Umbrella" in the clause: a commercial umbrella almost never covers Professional Liability. You need follow-form excess Professional Liability. Here is why.
- Three years after: these policies are claims-made, so keep every layer in force for that period with the same retroactive date. If a layer ends, you may need an extended reporting period (a tail), which allows claims to be reported after a policy ends. Check that the contract accepts a tail.
Who asks tutors, trainers and education consultants for $5M?
$5M reflects the client's size, not your business. It usually comes from:
- Large school districts or state education departments buying tutoring at scale.
- University systems hiring outside admissions or program consultants.
- Government training contracts, where the limit is often set in the request for proposal (RFP).
- Large corporations buying company-wide or safety and compliance training.
How is $5M built?
A primary policy pays first. An excess layer pays only after the layers below it are used up. "$3M xs $2M" means a $3M layer sitting above the first $2M.
Each excess layer should follow form, meaning it uses the primary policy's terms, with the same retroactive date and policy period. Layers often come from different insurers.
Option 1: one policy
Option 2: primary plus one excess
Option 3: primary plus two excess
Most tutors, trainers and consultants buy Miscellaneous Professional Liability, a general form for advice and teaching services. If you mainly sell a learning platform or software, Technology E&O may fit better.
Many Professional Liability policies pay defense costs inside the limit, so legal bills reduce what is left for a settlement.
If you already have $1M or $2M, Morrow can request quotes for excess layers or a new $5M primary, keeping your retroactive date (so past work stays covered) where the market allows.
Compared with $3M, $5M often means a larger or extra excess layer. A $10M requirement usually means more layers built the same way.
Good to know
Working with minors? Many Professional Liability policies exclude abuse and molestation claims. A district contract may require separate abuse and molestation coverage.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect:
- An application splitting revenue by service, such as tutoring, test prep, admissions consulting or safety training.
- Revenue and your largest contracts.
- Who updates safety or compliance course content, how you screen instructors, and whether you work with minors.
- The $5M contract and your client agreement, including any promised score gains or pass rates.
- Three to five years of loss runs (a report of past claims) and your current policy.
What affects the cost?
- What you teach. Safety and licensing prep may cost more to insure than tutoring, because clients rely on it for compliance.
- Contract size and client type. Large programs reach more people, so claims may be larger.
- How the $5M is split. Each layer is priced on its own, so how you split $5M between primary and excess can change the total.
- Claims history. Past claims can raise prices or shrink offered limits.
- Retention and defense terms. Retention is what you pay per claim before the policy pays. Defense outside the limit usually costs more.
Frequently asked questions
Do I need $5M Professional Liability as a tutor or trainer?
Only if your contract requires it, and that is uncommon. If it does, a $5M limit is very rare online and almost always needs a broker. Smaller firms, or firms that work with minors, may be offered less than $5M. Morrow can help you find it.
Is $2M enough if my contract says $5M?
No, a $2M primary alone does not meet a $5M clause, but a $2M primary plus $3M of follow-form excess may. Confirm with the client that primary plus follow-form excess meets the clause.
Can the school district be added as an additional insured on my Professional Liability?
Usually not. Most Professional Liability policies do not let you add a client as an additional insured (an extra party named on your policy), because the policy covers your own errors. A few may offer limited wording for the client's liability arising from your services. Wording varies by policy, so confirm what the contract requires. Send Morrow the contract wording so it can review the additional insured requirement and request quotes.
Looking for $5M in Professional Liability? Morrow can help.
Send us the insurance requirement from your contract and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary plus excess build. Terms depend on underwriting.
