For digital marketing agencies whose client contract asks for $5M: you can usually reach it with one primary policy, or a primary policy plus follow-form excess layers.
The short answer
- You can usually reach $5M with one primary policy, or a smaller primary policy plus excess layers (extra coverage that sits on top). Enterprise brands and regulated clients ask for it most.
- Each layer should follow form, meaning it matches the primary policy, including media liability if your contract requires it.
- $5M is very rare online. You will almost always need a broker who can request quotes from specialty insurance markets that handle higher limits. Morrow can help you find it.
What does a $5M requirement mean for digital marketing agencies?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your work caused a client a financial loss. Agencies usually need a form that also includes media liability. That covers claims that your content copied someone's work or defamed someone. A $5M clause might read like this:
Illustrative contract wording
Agency shall maintain Professional Liability insurance, including media liability and coverage for privacy claims arising from Agency's services, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. If written on a claims-made basis, the retroactive date shall precede the effective date of this Agreement, and coverage shall be maintained for three (3) years after the Services end. Limits may be met by primary and excess policies combined.
Illustrative example only. Actual contract wording varies.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year.
- Claims-made: Professional Liability almost always covers claims made while the policy is active, for work done after the retroactive date (the earliest date of work the policy covers).
- Three years after: you would usually renew every layer, with the same retroactive date.
- Primary plus excess: the last sentence lets you stack policies. If yours does not, confirm with the client that primary plus follow-form excess meets it.
Who asks digital marketing agencies for $5M?
Many contracts ask for $1M or $2M, and some reach $3M. $5M differs because it more often needs excess layers and more underwriting detail on ad spend and data use. It usually comes from:
- Enterprise brands that set one limit for every vendor.
- Hospitals, health plans and drug makers, where tracking pixels draw close review.
- Banks, lenders and insurers hiring you for lead generation or email programs.
- National retailers that put very large paid media budgets in your hands.
How is $5M built?
A primary policy pays first. An excess policy pays only after the layer below it is used up. "$4M xs $1M" means a $4M layer above the first $1M.
Example A: single policy
Example B: two layers
Example C: three layers
If a layer drops media or privacy coverage, it may not respond to the claims digital agencies face most. Many Professional Liability policies pay defense costs inside the limit (see defense costs inside or outside limits). If you build apps or software, Technology E&O may fit better (see $5M for technology and media firms).
Good to know
Hypothetical claims at this size. A tracking pixel (a small code snippet that tracks visitors) on a hospital site sends visitor data to an ad platform, and a privacy suit names your agency. A text campaign reaches people who never agreed to get texts. A bidding mistake spends a retailer's monthly budget in two days.
Privacy and text-consent claims are often excluded or limited in Professional Liability. They may need separate cyber or privacy liability coverage. Compare your client's "privacy claims" wording to your actual policy.
What will underwriters ask for?
- Revenue by service: paid media, SEO, social, email and SMS, content, web builds and analytics.
- Client ad spend you manage, the largest single budget, and how caps are approved.
- Which pixels and tags you install, and what data they collect.
- Where email and text lists come from, and how you record consent and opt-outs.
- How you clear images, music, influencer content and AI-generated material.
- The contract asking for $5M, your standard agreement, three to five years of loss runs (a report of past claims) and your current retroactive date.
What affects the cost?
- Services and clients. Large paid media budgets, tracking work and healthcare or financial clients usually cost more to insure.
- How the $5M is built. The primary layer often costs the most per $1M of limit, and excess layers above it are often priced lower per $1M.
- Claims history and controls. Past claims can raise the price or shrink the limit offered.
- Retention and defense terms. Retention works like a deductible. A higher one usually lowers premium.
Frequently asked questions
Can I get $5M Professional Liability if I carry $1M or $2M today?
In many cases, yes, depending on underwriting. Request new quotes through Morrow for a new $5M primary policy or for excess layers above a primary. Morrow can ask carriers to keep your retroactive date, so older work stays covered (this is called prior acts coverage), where the market allows. Report any known incident to your current carrier before switching.
Can my commercial umbrella count toward $5M Professional Liability?
Almost never. A commercial umbrella usually excludes professional services, so you usually need a higher primary limit or follow-form excess Professional Liability.
Can my client be added as an additional insured on $5M Professional Liability for my agency?
Usually not on Professional Liability. Many clients may accept a certificate of insurance (a one-page proof of coverage) that lists every layer, with each policy number, limit and policy period. Check your contract wording.
Is $2M enough if my agency contract says $5M?
Usually not. A $5M clause generally needs $5M in total, from one policy or primary plus excess layers. Send Morrow the clause so it can request quotes for the full amount.
Looking for $5M in Professional Liability? Morrow can help.
Send us the insurance requirement from your client contract and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary and excess structure with media liability, keeping your retroactive date where the market allows.
