For digital marketing agencies whose client wants $3M: it means $3M of Professional Liability (E&O) per claim, usually met by one $3M primary policy or a primary plus follow-form excess.
The short answer
- A $3M requirement means your Professional Liability pays up to $3M for a covered claim, more than the $1M or $2M that contracts often ask for.
- It is usually built as one $3M primary policy, or a $1M or $2M primary plus a follow-form excess layer (an extra policy above it on the same terms). Confirm with the client that primary plus follow-form excess meets the clause.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for digital marketing agencies?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your work or advice caused a client a financial loss. Agencies usually need a form that includes media liability (claims that your content infringed copyright or trademark, invaded privacy or defamed someone). Web or software work may use a Technology E&O form. A $3M clause might read:
Illustrative contract wording
Agency shall maintain Professional Liability insurance, including media liability, with limits of not less than $3,000,000 per claim and $3,000,000 in the aggregate. Coverage shall apply to content produced by Agency's subcontractors and creators. If written on a claims-made basis, coverage shall be maintained for three (3) years after termination. Required limits may be met through a combination of primary and excess policies.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year. See how limits are written.
- Media liability: a policy that leaves out media claims may not meet this clause, even at $3M.
- Claims-made: Professional Liability is almost always claims-made, meaning it covers claims first made while the policy is active, for work done on or after the retroactive date (the earliest date of work the policy covers).
Who asks digital marketing agencies for $3M?
$3M usually reflects the client's exposure more than your size. It often comes from:
- Enterprise brands that set one $3M floor for every vendor.
- Large agencies and agency networks that pass their client's limit down to you.
- Healthcare, financial services and insurance clients, where ads follow strict rules.
- Lead generation programs that rely on texts, calls and consent records. Policies often exclude or limit text and call consent claims.
- Agency of record deals, where a brand names you its main agency.
A $2M clause may be met by one primary policy. $3M more often needs a larger primary or a primary plus excess. At $5M, excess layers are more common.
How is $3M in Professional Liability built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer that sits above the first $1M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it adopts the primary policy's terms, including media liability. Every layer should share the same retroactive date, policy period and named insured (the business the policy covers).
Many Professional Liability policies pay defense costs inside the limit, so confirm each layer treats defense the same way (see defense costs inside or outside the limit). A commercial umbrella almost never covers Professional Liability.
Good to know
Hypothetical claims. A national video ad uses an unlicensed song and the rights holder sues. An influencer adds an unapproved health claim and a false advertising suit follows.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Each insurance company (carrier) may ask about:
- Revenue by service, such as paid media, SEO, influencer and video.
- How you clear rights to music, images and talent.
- Who checks health and financial claims before ads go live.
- Influencer and freelancer contracts and their own coverage.
- Consent records, tracking tools, loss runs (a report of past claims) and your current policy and retroactive date.
What affects the cost?
- Services and content risk. Influencer, video and lead generation work may cost more to insure than SEO.
- Client industries and reach. Regulated clients and national campaigns raise claim size.
- How the $3M is built. The primary layer usually costs the most per $1M of limit.
- Claims history. Prior claims often raise the price.
- Retention and defense terms. Retention works like a deductible. A higher one usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
I carry $1M or $2M today. How does my digital marketing agency reach $3M?
Request new quotes through Morrow for a $3M primary policy or a primary plus excess, asking carriers to keep your retroactive date and prior acts coverage (cover for past work) where the market allows. In most cases, keep your current policy until the new one starts, and report known incidents to your current carrier before you switch.
Is $2M enough if my agency contract says $3M?
No. A $2M limit is below a $3M clause. Confirm with the client that a $2M primary plus a $1M follow-form excess meets the clause, or ask Morrow to request quotes for the full $3M.
Can a client be added as an additional insured (a party given coverage under your policy) on my $3M agency policy?
Usually not on Professional Liability. In some cases, a carrier may add a client when a contract requires it, often only for the client's liability from your work. Many clients accept a certificate of insurance (a one-page summary of your coverage) that lists every layer. It gives the client no rights under the policy.
Is work by influencers and freelancers covered under $3M Professional Liability for a digital marketing agency?
Sometimes, depending on the wording. Many agency policies cover work done on your behalf, but some limit it. Written creator contracts usually help.
