Change management consultants facing a $3M contract requirement can meet it with one $3M Professional Liability (E&O) primary policy or a smaller primary plus a follow-form excess layer.
The short answer
- A $3M requirement means your Professional Liability (E&O) must pay up to $3M for a client's claim about your change management work, from one policy or from a primary plus follow-form excess.
- You can meet it with one $3M primary policy, or a $1M or $2M primary plus a follow-form excess layer (a second policy above it that uses the primary's terms).
- $3M is rarely found online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for change management consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client a financial loss. A $3M clause might read:
Illustrative contract wording
Consultant shall maintain Professional Liability insurance covering the organizational change, training and communications services under this Agreement, with limits of not less than $3,000,000 each claim and $3,000,000 in the aggregate. If written on a claims-made basis, coverage shall be maintained for three (3) years after completion of the services.
Illustrative example only. Your contract's wording controls.
- Each claim and aggregate: the most paid for one claim, and for all claims in a year. See how limits are written.
- Claims-made: Professional Liability is almost always claims-made. It covers claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest date of work the policy covers).
- Three years after: you would keep every layer in force after the work ends, or buy a tail (an extended period to report claims after a policy ends).
- Stacking: this clause does not say whether primary plus excess counts. Confirm with the client that primary plus follow-form excess meets the clause. Also check that the policy's professional services definition covers training and communications.
Who asks change management consultants for $3M?
A $2M requirement often fits mid-size engagements. A $3M clause usually follows a larger program that affects thousands of employees. If a client asks for more, see $5M for change management consultants. A $3M request usually comes from:
- Large companies running company-wide transformations.
- Software or consulting firms running a big technology rollout that hire you for the people side (often called systems integrators).
- Health systems moving thousands of staff to a new clinical system.
- Banks and insurers on merger or regulatory change programs.
- State agencies on large modernization projects, where the request for proposal (the bid document) often sets the limit.
- Master service agreements (one standing contract that sets the same insurance limit for every vendor).
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer above the first $1M.
Example A: single policy
Example B: two layers
Example C: two layers
Advice-based firms usually buy Miscellaneous Professional Liability, a form for service businesses. The excess should follow form, meaning it uses the primary policy's terms. Every layer should share the same retroactive date and named insured (the business covered). A commercial umbrella almost never covers Professional Liability, so it cannot fill the gap (see does an umbrella cover Professional Liability).
Good to know
Hypothetical claims, for illustration only. A manufacturer says your adoption plan for a new ERP system missed plant supervisors, go-live slipped six months and output was lost. Many policies pay defense costs inside the limit, so legal fees can use up a large share of $3M.
What will underwriters ask for?
An underwriter decides whether to offer coverage.
- Revenue split across change strategy, training, communications, organizational design and coaching.
- Whether you advise on layoffs.
- How much work ties to technology rollouts, and whether you touch system setup.
- Your largest engagements and how often you work as a subcontractor.
- The contract asking for $3M and any limitation of liability clause (a cap on what you owe a client).
- Three to five years of loss runs (a report of past claims) and your current policy with its retroactive date.
What affects the cost?
- Type of work. Workforce reduction advice is often seen as riskier than training delivery.
- Engagement size and client mix. Large programs in healthcare, finance or government can raise it.
- How the $3M is built. The primary layer usually costs the most per $1M of limit.
- Claims history. Prior claims can raise the price or limit options.
- Retention and defense terms. Retention works like a deductible, and a higher one usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
Do I need $3M Professional Liability as a change management consultant?
Only if your contract says so. The contract sets the minimum you must carry, and $3M tends to come with large programs or regulated clients.
I have a $1M policy. How do I get to $3M as a change management consultant?
Request new quotes through Morrow for a $3M primary policy or for follow-form excess above a primary. Morrow can ask carriers to keep your retroactive date and prior acts coverage (coverage for past work) where the market allows. Report anything that could become a claim to your current carrier before any switch.
Can my client be added as an additional insured on my Professional Liability?
Usually not. Professional Liability protects you against client claims, so naming a client as an insured does not fit. Some clients accept a certificate of insurance that lists each layer, its limit and policy period. Check what your contract requires.
Does Professional Liability cover a change program that missed its adoption targets?
Not if you guaranteed the result. Many policies exclude guarantees, such as a promised adoption rate. Keep proposals focused on your work, not promised outcomes.
Looking for $3M in Professional Liability? Morrow can help.
Send us the contract's insurance requirement and your current policy. Morrow can review both and request quotes for a $3M primary policy or a primary and excess structure. Whether a carrier offers terms depends on underwriting.
