Change management consultants asked for $2M by a client or prime contractor need a Professional Liability policy that pays up to $2M per claim and $2M in total.
The short answer
- A $2M requirement usually means a Professional Liability policy that pays up to $2M per claim and $2M in total, which a $1M/$2M policy does not meet.
- It may come up on large transformation programs, mergers and public sector rollouts.
- If you carry $1M today, request new quotes for a $2M policy through Morrow, keeping your retroactive date (the earliest work date the policy covers) where the market allows.
What does a $2M requirement mean for change management consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client a financial loss. A $2M clause might read like this:
Illustrative contract wording
Consultant shall maintain Professional Liability insurance covering the change management, training, communications and organizational design services under this Agreement, with limits of not less than $2,000,000 per claim and $2,000,000 in the aggregate. If written on a claims-made basis, coverage shall be maintained for three (3) years after final acceptance of the services.
Illustrative example only. Your contract's wording controls.
- Per claim: the most the policy pays for any one claim. Here, $2M. A $1M/$2M policy pays only $1M per claim, so it usually will not meet this clause (see Professional Liability limits explained).
- Aggregate: the most the policy pays for all claims in one policy year. Here, also $2M.
- Claims-made: Professional Liability is almost always claims-made. It covers claims made and reported while the policy is active, for work done on or after the retroactive date.
Who asks change management consultants for $2M?
The limit tracks the size of the program, not the size of your firm. You may see $2M from:
- Very large companies running a company-wide change or a global system rollout.
- Systems integrators (firms that install large software systems) and big consulting firms. They pass their own $2M requirement down to you as a subcontractor.
- Merging companies that hire you to lead integration, culture and communications work.
- Health systems moving to a new electronic health record platform.
- State agencies on large modernization projects, which may use their own procurement forms.
Smaller projects usually ask for less (see $1M Professional Liability for change management consultants). If a client wants more than $2M, see $3M Professional Liability for change management consultants.
How is $2M built?
At $2M, the limit is usually one primary policy (the policy that pays first) written at $2M/$2M. Change management firms usually buy Miscellaneous Professional Liability, a form for service businesses. If you also configure software or handle client data, ask whether Technology E&O fits better.
Some firms use a $1M primary plus a $1M excess layer (a second policy above the first). The excess should follow form, meaning it uses the primary's terms. Confirm with the client that this meets the clause. A commercial umbrella almost never covers Professional Liability (see Does an umbrella cover Professional Liability?).
Good to know
Hypothetical claims, for illustration only. A global client says your readiness plan missed a key region and its new system went live with untrained staff. A prime contractor says your training materials were late and it owed penalties to the end client. Many policies pay defense costs inside the limit, so legal fees can use up part of the $2M.
What will underwriters ask for?
An underwriter is the person at the insurer who decides whether to offer coverage and on what terms. Expect questions like these:
- Your revenue split across change strategy, training delivery, communications, organizational design and coaching.
- Your largest engagements: client size, contract value, length, and whether you work directly or as a subcontractor.
- Whether you sign off on go-live readiness or hold deadlines tied to a system launch.
- Whether you advise on layoffs or role cuts, or only plan and communicate the change.
- Whether you configure systems, handle client data or use outside trainers.
- Your written scopes of work, any prior claims or known problems, and your current policy with its retroactive date.
What affects the cost?
- Type of work. Restructuring, workforce reduction and go-live readiness work may be viewed as riskier than training or coaching alone.
- Revenue and engagement size. Larger programs can mean larger possible losses.
- Client mix. Healthcare, financial and government clients may raise the price in some cases.
- Claims history. Prior claims can raise the price or narrow your options.
- Policy terms. A lower retention (the amount you pay on each claim before the policy pays, like a deductible), defense outside the limit and full prior acts coverage (coverage for work you did before the new policy started) usually cost more.
Frequently asked questions
Is $1M/$2M enough if my contract says $2M?
Usually not, because a $1M/$2M policy pays only $1M for any one claim. Request new quotes for a $2M policy through Morrow, or a new primary plus an excess layer. Morrow can ask carriers to keep your retroactive date and prior acts coverage where the market allows. Keep your current policy in force until the new one starts so there is no gap. Report anything that could become a claim to your current carrier before that policy ends.
Is $2M Professional Liability hard to find for change management work?
$2M is often available for consulting work, but not every market offers it. Some firms need a broker to place it. Morrow can help you find it.
Do I need $2M Professional Liability as a change management consultant?
Usually only if a client contract or prime contractor requires it. Read the insurance section for the per claim and total amounts, then send it to Morrow to review.
What if the contract says coverage must last three years after the work ends?
Usually you keep renewing a policy with the same retroactive date for that time. If you stop buying coverage, you may need a tail, an extra period to report claims about past work.
Looking for $2M in Professional Liability? Morrow can help.
Send us the contract's insurance requirement and your current policy, if you have one. Morrow can review both and request quotes for a $2M policy, keeping your retroactive date where the market allows.
