For background screening companies, a $3M Professional Liability requirement may be met with one $3M primary policy or a smaller primary plus follow-form excess, and it usually comes from national employers and large staffing programs.
The short answer
- A $3M requirement means a background screening company must carry $3M of Professional Liability (E&O) for claims about its work, usually at a national employer's or staffing program's request.
- You may be able to meet it with one $3M primary policy, or a $1M or $2M primary plus a follow-form excess layer.
- $3M is rarely available online and is usually placed through a broker. Morrow can help you find it.
What does a $3M requirement mean for background screening companies?
Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your services caused a loss. For a screening firm, the claim may come from a client or a person you screened. A $3M clause might read like this:
Illustrative contract wording
Screening Provider shall maintain Professional Liability (Errors and Omissions) insurance for its consumer reporting, background check and verification services, with limits of not less than $3,000,000 per claim and $3,000,000 in the aggregate. Limits may be satisfied by primary and follow-form excess policies combined. Claims-made coverage shall be maintained for two (2) years after termination.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a year. See limits explained.
- Claims-made: the policy covers claims made while it is active, for work done after the retroactive date (the earliest date of work covered).
- After the contract ends: keep renewing with the same retroactive date, or buy a tail (extra time to report claims after a policy ends).
- Layers count here. This example clause lets a primary policy plus excess policies add up to $3M. If your clause is silent, confirm with the client that primary plus follow-form excess meets it.
Who asks background screening companies for $3M?
Many firms carry $1M or $2M (see $2M for background screening companies). A $2M limit often meets mid-size client contracts. $3M tends to appear when one error could affect thousands of candidates:
- National employers screening thousands of hires under one master agreement.
- Large staffing firms passing their own client limits down to you.
- Health systems relying on your license checks for clinical staff.
- Transportation, school bus and childcare programs, where a missed record could harm the public.
- Prime contractors on public programs.
If a contract asks for more, see $5M for background screening companies.
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer above the first $1M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form. That means it adopts the primary policy's terms. All layers should share the same retroactive date and policy period.
Screening firms often buy a Miscellaneous Professional Liability form (a general professional services form) that can be written for consumer reporting work. Check whether it limits claims from group lawsuits (class actions). A follow-form excess usually inherits that limit.
A commercial umbrella almost never covers Professional Liability (see umbrellas and Professional Liability).
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect questions like these:
- Annual report volume, revenue by service, and your largest clients.
- How you match records to the right person, and whether results come from database-only searches.
- How you handle a candidate who disputes a report, and how fast you correct errors.
- Whether you make hire or no-hire calls for clients (called "adjudication") or only report facts.
- The contract asking for $3M, five years of loss runs (a report of past claims), and your current policy with its retroactive date.
What affects the cost?
- Volume and client mix. More reports and riskier industries usually raise premium.
- Service mix. Services with higher claim risk may cost more. Underwriters will ask which checks you run most.
- How the $3M is built. The primary layer often costs more per $1M than excess layers, but pricing varies by market and by how the program is built.
- Claims history. Past suits may limit what is offered.
- Retention. A retention works like a deductible. A higher one usually lowers premium.
Frequently asked questions
Do I need $3M Professional Liability as a background screening company?
You need it only if a client contract or program requires it. Clients ask because one error can reach many candidates. Hypothetically, a matching error attaches wrong records to hundreds of candidates, and an employer says your report caused hiring losses. Many policies pay defense costs inside the limit, so legal fees reduce what is left. Whether injury-related damages are covered depends on the policy's bodily injury wording.
I carry $1M or $2M today. How do I get to $3M?
Request new quotes through Morrow for a $3M primary policy or a primary plus follow-form excess. Morrow can ask carriers to keep your retroactive date and prior acts coverage (cover for work done before the new policy starts) where the market allows. Report any known incident to your current carrier before that policy ends.
Can a client be added as an additional insured on my $3M Professional Liability?
Usually not. It is not automatic, and many carriers will not do it. Some may add a client for liability arising from your services, so ask early if your contract requires it. Some clients accept a certificate of insurance (proof of coverage) listing each layer.
Is $2M enough if my contract says $3M?
Usually not on its own. A $2M policy alone does not meet a $3M clause unless the contract lets a $1M excess layer make up the difference. Check the clause wording.
