AI consultants whose enterprise contract asks for $5M usually meet it with one $5M primary policy or a smaller primary plus follow-form excess layers.
The short answer
- $5M in Professional Liability (E&O) means your insurance can pay up to $5M for client claims about your AI work, through one primary policy or primary plus follow-form excess layers (extra limit on top).
- Large enterprise and regulated clients ask for it most often. It is a step up from $3M, so excess layers are more likely.
- $5M is very rare online and almost always requires a broker, because AI work often needs underwriter review. Morrow can help you find it.
What does a $5M requirement mean for AI consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your work cost a client money. AI consultants usually buy Technology E&O, a form built for tech work, often sold with Cyber coverage (which pays for data breaches and hacks). An enterprise MSA (master service agreement) may read:
Illustrative contract wording
Vendor shall maintain Technology Errors and Omissions insurance for its AI services, with limits of not less than $5,000,000 per claim and in the annual aggregate, and Network Security and Privacy Liability insurance of not less than $5,000,000. Limits may be met by primary and excess policies. Claims-made coverage shall continue three years after this Agreement ends.
Illustrative example only. Actual contract wording varies.
- Per claim and aggregate: the most paid per claim, and for all claims in a year. See how limits are written.
- Two coverages: the clause asks for $5M of each. Confirm with the client that your primary plus follow-form excess meets it for both.
- Layers in this example: this sample clause accepts a primary policy plus excess. If yours says nothing, confirm with the client that primary plus follow-form excess meets it.
- Three years after: Professional Liability is usually claims-made. That means it covers claims made against you while the policy is active. So you would usually renew every layer. If you stop, you may be able to buy an extended reporting period (a tail), which keeps reporting open for a set time. Carrier terms apply.
Who asks AI consultants for $5M?
AI consultants are often asked for $1M or $2M, and sometimes for $3M. $5M often reflects the client's size more than yours. It tends to come from:
- Large enterprises using one MSA for all suppliers. See MSA insurance requirements.
- Banks and insurers where your models score credit or flag fraud.
- Health systems where your AI reads patient records.
- Public-sector agencies, especially large state or local entities, that often set the limit in the RFP (request for proposal).
How is $5M built?
A primary policy pays first. An excess policy pays only after the layers below it are used up. "$3M xs $2M" means a $3M layer sitting above the first $2M.
Example A: single policy
Example B: two layers
Example C: three layers
With layers, each excess layer should follow form, meaning it uses the primary policy's terms. If your primary combines Technology E&O and Cyber, check that the excess sits over both. All layers should share one retroactive date (the earliest date of work covered) and one policy period.
Many Professional Liability policies pay defense costs inside the limit, so legal bills reduce what is left. A commercial umbrella (extra liability limits over your general liability policy) almost never covers Professional Liability.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms.
- What you build: advice, custom models or AI agents inside client systems.
- Whether your AI drives decisions on credit, hiring, claims or care.
- What client data you handle and whether outside model providers see it.
- How you test and monitor models.
- The contract, and any limitation of liability clause (a cap on what you owe a client).
- Revenue, loss runs (a report of past claims) and your retroactive date.
What affects the cost?
- How close your AI sits to decisions. Systems that approve or deny things often cost more than advice.
- Data exposure. Sensitive data usually raises the price.
- How the layers are built. A single primary and a stack of layers are priced differently, and each extra layer adds to the total.
- Contract size and claims history. Larger deals and past claims can raise the price.
- Retention and defense terms. A retention works like a deductible, and a higher one usually lowers the price.
Frequently asked questions
What could a $5M claim look like for an AI consultant?
It could be a model mistake that costs a client millions. Hypothetical examples: a fraud model you built blocks good transactions for weeks, or an AI agent in a hospital's billing system sends wrong codes on thousands of claims. Fines, penalties and refunds may be limited or excluded, depending on policy wording.
I already have $1M or $2M. How do I get to $5M?
Request new quotes for a new primary policy or follow-form excess layers. Morrow can request both and ask carriers to keep your retroactive date and prior acts coverage (cover for work done before the new policy started) where the market allows. Report known incidents to your current carrier first.
Can my client be added as an additional insured?
Usually not, though some carriers allow it in limited form. Where available, it usually covers only the client's liability from your work, and varies by carrier. Many clients accept a certificate of insurance (a one-page proof of coverage) listing each layer, but a certificate does not add anyone to the policy. Check your contract.
Can a small AI consulting firm get $5M in Professional Liability?
Possibly, but it depends on underwriting, and not every firm will qualify. Early-stage firms may be offered lower limits. Revenue, testing records and a clean claims history can help. $5M almost always needs a broker. Morrow can help you find it. If a client asks for even more, see $10M for AI consultants.
Looking for $5M in Professional Liability? Morrow can help.
Send us the insurance requirement from your contract and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary policy with excess layers on top.
