$3M Professional Liability (E&O) Insurance for AI Consultants

In this guide

If a client's contract asks your AI consulting firm for $3M in Professional Liability (E&O), you usually need a $3M primary policy or a primary plus excess layer that totals $3M.

The short answer

  • A $3M requirement means your Professional Liability (E&O) policy must pay up to $3M for one claim, usually through one $3M primary policy or a primary plus excess layer.
  • It usually comes from enterprise contracts (master service agreements) or work with sensitive data. A smaller primary plus a follow-form excess layer (extra limit above the primary) may count if the client accepts it.
  • $3M is rarely found online, since online quotes often top out at lower limits, so a broker usually places it. Morrow can help you find it.

What does a $3M requirement mean for AI consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your work cost a client money. AI consultants often buy it as Technology E&O, packaged with Cyber (coverage for data breaches and network attacks). A $3M clause in an enterprise MSA (master service agreement) may read like this:

Illustrative contract wording

Supplier shall maintain Technology Errors and Omissions insurance, including network security and privacy liability, with limits of not less than $3,000,000 per claim and in the annual aggregate, maintained for three (3) years after termination of this Agreement.

Illustrative example only. Actual contract wording varies.

  • Per claim and aggregate: the most the policy pays for one claim, and for all claims in a policy year. Here both are $3M.
  • Cyber is named: "network security and privacy" means Cyber. Check whether $3M applies to each or to both combined.
  • Three years after the contract ends: the policy is usually claims-made (it covers claims first made while it is active), so you would renew it, with the same retroactive date (the earliest date of work it covers), for that period.
  • No stacking language: the clause does not say primary plus excess is allowed. Confirm with the client that it meets the clause.

Who asks AI consultants for $3M?

A $2M requirement is a common limit in client contracts. A $3M clause asks for $1M more, so a $2M primary alone falls $1M short. If the clause goes higher, see $5M for AI consultants. Common sources:

  • Large companies using one standard MSA for every tech vendor. See MSA insurance requirements.
  • Banks, lenders and insurers hiring you to build underwriting or fraud models.
  • Health systems and health tech firms handling patient data.
  • Software companies embedding your AI in their products.
  • Public agencies setting the limit in the RFP (request for proposals).

How is $3M built?

A primary policy pays first. An excess policy pays only after the primary limit is spent. "$1M xs $2M" means $1M above the first $2M. A commercial umbrella (extra liability coverage that sits above policies like General Liability) almost never covers Professional Liability.

Example A: single policy

Primary policy$3M / $3M
Total: $3M / $3M

Example B: two layers

Excess layer$1M xs $2M
Primary policy$2M / $2M
Total: $3M / $3M

Example C: two layers

Excess layer$2M xs $1M
Primary policy$1M / $1M
Total: $3M / $3M

The excess should follow form. That means it uses the same terms as the primary.

  • It sits over everything the primary covers, such as Technology E&O and Cyber.
  • It matches the primary's retroactive date and expiration, and adds no new exclusions.
  • Many Professional Liability policies pay defense costs inside the limit, so ask how each layer treats defense. Also check any sublimits (smaller caps on certain claims).

What will underwriters ask for?

An underwriter (the insurance company's reviewer) decides whether to offer coverage and on what terms.

  • Which models you build on, and whether you train custom models or connect agents to client systems.
  • Whether your AI drives decisions on credit, hiring or claims, and who reviews them.
  • What client data you touch and where it is stored.
  • How you test models, track errors after launch, and get client sign-off.
  • The $3M contract and your standard terms, including any limitation of liability clause (a cap on what you owe a client).
  • Revenue, largest contracts, loss runs (a report of past claims) and your current policy.

What affects the cost?

  • How close your AI sits to decisions. Systems that approve, deny or price usually cost more than advice.
  • Data sensitivity. Health, financial and personal data usually raise the price.
  • How the $3M is built. Each primary or excess layer is priced on its own.
  • Contract size and claims history. Larger contracts and past claims can raise the price or cut the limit.
  • Retention and defense terms. A retention works like a deductible, and a higher one usually lowers the premium. Defense outside the limit usually costs more.

Frequently asked questions

Do I need $3M Professional Liability (E&O) as an AI consultant?

Only if your contract or client requires it, and many enterprise, health and finance clients do. Hypothetical example: a credit scoring model you tuned drifts and approves risky loans for months. That could be a large loss.

I already have $1M or $2M. How do I get to $3M?

Request new quotes for a $3M primary policy or a follow-form excess layer. Morrow can request both and ask carriers to keep your retroactive date and prior acts coverage (coverage for past work before the new policy starts) where the market allows. Report any known incidents to your current carrier before you switch.

Can I add my client as an additional insured on my $3M policy?

Usually not. Professional Liability policies seldom let you add a client as an additional insured (a party with rights under the policy). Coverage applies to your own mistakes. A certificate of insurance (a one-page proof of coverage) can list each layer, its limit and its policy period. It usually does not give the client rights under the policy.

Can a small AI consulting firm get $3M in Professional Liability?

Sometimes, depending on underwriting. A small AI consulting firm may be able to get $3M, but it is rarely found online and usually needs a broker. Morrow can help you find it. Clear testing records often help.
