$3M Professional Liability (E&O) Insurance for Staffing Agencies

In this guide

For staffing agencies whose client contract asks for $3M in Professional Liability (E&O): you can meet it with one $3M policy, or with a smaller primary policy plus follow-form excess.

The short answer

  • A $3M requirement means your Professional Liability (E&O) must pay up to $3M when a client claims your recruiting or placement work was wrong, through one policy or a primary plus follow-form excess.
  • $3M is less common for staffing agencies. It usually comes from large employers, managed vendor programs and regulated clients.
  • $3M is rarely available online. In most cases, a broker places it. Morrow can help you find it.

What does a $3M Professional Liability requirement mean for staffing agencies?

Professional Liability (also called E&O, short for Errors and Omissions) covers claims that a mistake in your services cost a client money. For a staffing firm, that can mean a missed credential check. A $3M clause might read:

Illustrative contract wording

Supplier shall maintain Professional Liability (Errors and Omissions) insurance covering its recruiting, screening, placement and related services, with limits of not less than $3,000,000 per claim and $3,000,000 annual aggregate. Limits may be satisfied by a combination of primary and excess policies.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: the most paid for one claim, and for all claims in a policy year. See how limits are written.
  • Claims-made: Professional Liability almost always covers claims made while the policy is active, for work after the retroactive date (the earliest date of work covered).
  • Primary plus excess: this sample clause allows a mix of policies. If yours is silent, confirm with the client that primary plus follow-form excess meets it.

Who asks staffing agencies for $3M?

Many staffing clients ask for $1M or $2M. $3M can be less common. Above $3M, some programs ask for $5M, which almost always needs a broker. Morrow can help you find it. $3M usually shows up when placed workers touch money, data or regulated work:

  • Large employers with one insurance standard for all suppliers.
  • Managed service providers (MSPs), firms that run a client's staffing vendors and often pass large-client terms down.
  • Banks and insurers using contract IT, finance or compliance staff.
  • Hospital systems using travel or per diem staff. They often ask for medical malpractice on placed clinicians. That is separate coverage with limits that may differ from a $3M Professional Liability clause, so read your contract.
  • Government agencies, where the limit is often written into the bid.

How is $3M built?

A primary policy pays first. An excess layer pays only after the primary limit is used up. "$1M xs $2M" means a $1M layer that sits above the first $2M.

Option 1: one policy

Primary policy$3M / $3M
Total: $3M per claim / $3M aggregate

Option 2: primary plus excess

Excess layer$1M xs $2M
Primary policy$2M / $2M
Total: $3M per claim / $3M aggregate

Option 3: primary plus excess

Excess layer$2M xs $1M
Primary policy$1M / $1M
Total: $3M per claim / $3M aggregate
Each block is a separate policy.

The excess should follow form, meaning it uses the same terms as the primary. If it adds exclusions, you could have $3M on paper but less for a claim. Layers usually need to match the primary on retroactive date, policy period and named insured (the business covered). A commercial umbrella almost never counts.

Many staffing firms buy a Miscellaneous Professional Liability or staffing-specific E&O form, made for service businesses. IT-focused firms may need Technology E&O. Large clients may also ask for employment practices liability (EPL) or crime coverage. Those are separate policies.

If you already carry $1M or $2M, Morrow can request new quotes for a $3M primary policy or for excess layers above it, keeping your retroactive date and prior acts coverage (coverage for past work done before the new policy starts) where the market allows.

Good to know

Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit, so legal fees shrink what is left to settle.

What will underwriters ask for?

An underwriter decides if a carrier offers coverage. Expect questions about:

  • Revenue split between temporary staffing, direct hire and executive search.
  • The roles you fill, especially any with access to client money or data.
  • Your screening steps, and whether background checks are done in-house or outside.
  • Your largest clients and the agreement requiring $3M, including its indemnity terms (who pays if something goes wrong).
  • Whether placed workers are on your payroll or are independent contractors, and who supervises them.
  • Loss runs (your claims history report) and your current policy and retroactive date.

What affects the cost?

  • Placement mix. Healthcare, finance and IT placements may cost more to insure than clerical roles.
  • How the $3M is built. The primary layer often costs the most because it pays first, but pricing varies.
  • Claims history. Past claims can raise the price or limit what a carrier offers.
  • Retention and defense terms. The retention is what you pay on each claim before the policy pays. A higher one may lower premium.

Frequently asked questions

Do I need $3M Professional Liability as a staffing agency?

Only if your client agreement says so. $3M is less common than $1M or $2M and usually comes from large employers, managed service providers and regulated clients.

Does a $2M primary plus $1M excess policy meet a $3M requirement?

In many cases, yes, if the excess follows form and there are no gaps between layers. Check the wording before you bind (buy) coverage.

Can my client be added as an additional insured on my Professional Liability?

Usually not. Additional insured status (a client added to your policy for its own protection) is not automatic on Professional Liability. Some carriers offer a limited version, and many do not. A certificate of insurance listing every layer, limit and policy period is the usual proof.

What kind of claim could reach $3M for a staffing agency?

A claim that a placement caused a client a large loss. One hypothetical example: a firm places a contract analyst who lacks a certification the bank required, and the bank pays to redo the work.
