For SEO agencies whose client contract requires $3M, the requirement usually means $3M per claim and $3M aggregate, which one primary policy or a smaller primary plus follow-form excess can often meet.
The short answer
- A $3M requirement usually means $3M per claim / $3M aggregate (the most paid for all claims in a year). One policy or a primary plus excess can often meet it.
- You may get one $3M primary policy, or reach $3M with a smaller primary policy plus a follow-form excess layer (extra limit above the first policy).
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for SEO agencies?
Professional Liability (E&O, short for Errors and Omissions) insurance can help when a client says your SEO work cost them money. For example, a hypothetical client may claim a site migration dropped redirects and cut organic sales. A $3M clause may read:
Illustrative contract wording
Agency shall maintain Professional Liability insurance, including media liability, with limits of not less than $3,000,000 each claim and $3,000,000 annual aggregate. If written on a claims-made basis, the retroactive date shall be no later than the effective date of this Agreement. Limits may be met through primary and excess policies combined.
Illustrative example only. Actual contract wording varies.
- Media liability: SEO agencies often write content, so many buy Professional Liability that includes it. It responds to copyright, defamation or privacy claims over your content. Agencies that build sites or software tools may need Technology E&O.
- Claims-made: the policy covers claims made and reported while active. The retroactive date is the earliest work date covered.
- Primary plus excess: the last sentence lets you stack policies. Without it, confirm with the client that primary plus follow-form excess meets the clause.
Who asks SEO agencies for $3M?
The number often reflects the client's exposure rather than your agency's size. For lower limits, see $1M or $2M. A $2M limit does not meet a $3M clause, so $3M usually means a larger primary or added excess. Requests often come from:
- Enterprise brands where organic search drives much of their sales
- Large e-commerce retailers
- Marketing agencies that hire you as a subcontractor and pass their limits down in a master services agreement (a general contract that sets terms for all your work together)
- Banks, insurers and health systems that may use one schedule for all vendors
How is $3M built?
$3M is built as one $3M primary policy, or as a smaller primary with a follow-form excess layer on top. A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer above the first $1M.
A: single policy
B: two layers
C: two layers
Excess should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date. A commercial umbrella almost never covers Professional Liability, so it rarely fills the gap (see umbrellas and Professional Liability).
Good to know
Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit, so legal fees reduce what is left to settle a claim. See defense inside and outside limits.
What will underwriters ask for?
Underwriters (the people at the insurer who decide whether to offer coverage) usually ask SEO agencies about:
- Your services: technical SEO, content, link building, local SEO, paid media or site builds
- Any guarantee of rankings, traffic or sales
- How you build links, and whether you buy them
- Who writes content, AI use, and how you check for copying
- Direct edits to client sites (redirects, tags, CMS settings) and testing
- Largest clients, their industries and fees, plus loss runs (a report listing past claims)
What affects the cost?
- Services and clients. Hands-on site changes, content writing and finance, health or legal clients usually cost more.
- Revenue, largest client and claims history. One big account or past claims can raise the price.
- How the $3M is built. The primary layer usually costs the most per $1M. Excess is usually less per $1M.
- Retention and defense terms. A higher retention (like a deductible) usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
Do I need $3M Professional Liability as an SEO agency?
Yes, if your contract requires it. A $3M clause usually must be met in full, so confirm the wording, then price a primary or primary plus follow-form excess.
Can a small SEO agency get $3M Professional Liability?
It may be possible. Underwriting looks at revenue, services, largest client and claims. Limits at this level are not offered in every market, and some very small agencies may not qualify. $3M is rarely found online and usually needs a broker. Morrow can help you find it.
Is $2M enough if my SEO contract says $3M?
No, $2M alone does not meet a $3M clause. A $2M primary plus $1M of follow-form excess can reach $3M, so confirm with the client that this meets the clause. Excess usually needs a broker. Morrow can help you find it. If you carry $1M or $2M now, request new quotes through Morrow, which can request quotes that keep your retroactive date and prior acts coverage (cover for work done before the new policy starts), where the market allows. In general, keep your current policy in force until the new one starts. Report any known incident to your current carrier before switching.
Can my SEO client be added as an additional insured?
Usually not. An additional insured is someone added to your policy for protection. Professional Liability policies generally do not include it by default, while General Liability routinely adds it. Some carriers may add a client in limited cases, usually for liability arising from your services. Some clients accept a certificate of insurance (a summary evidencing your coverage). Check your contract to confirm what it requires.
