If your security firm's contract asks for $5M, the limit is often built as a smaller primary policy plus follow-form excess, not one $5M policy.
The short answer
- A $5M Professional Liability (E&O) requirement means your security firm needs $5M per claim, usually from utilities, critical sites or government clients, and often met with primary plus excess.
- The excess layer follows form (adopts the primary policy's terms, with its own conditions and exclusions).
- $5M is very rare online and almost always needs a broker to place it. Morrow can help you find it.
What does a $5M requirement mean for security consultants?
Professional Liability (E&O, short for Errors and Omissions) may cover claims that allege your advice, plans or reports caused a client a financial loss, subject to the policy wording. A $5M clause might read like this:
Illustrative contract wording
Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering security risk assessment, security design and advisory services, with limits of not less than $5,000,000 per claim and $5,000,000 annual aggregate. Limits may be satisfied by a combination of primary and excess policies. If claims-made, the retroactive date shall precede the start of services, and coverage shall be maintained for three (3) years after completion.
Illustrative example only. Your contract controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in a policy year. See Professional Liability limits explained.
- Claims-made: the policy covers claims made and reported while it is active, for work done after the retroactive date (the earliest date of work the policy covers).
- Primary plus excess: this clause allows stacked policies. If yours is silent, confirm with the client that primary plus follow-form excess meets the clause.
Who asks security consultants for $5M?
When a $5M request comes up, the client usually has a lot at stake:
- Energy, utility, manufacturing and data center companies hiring assessments of substations, pipelines or plants.
- Government agencies and transit or port authorities, where the limit is often set in the request for proposal. See Professional Liability for government contracts.
- Large construction and stadium projects needing security design for public venues.
Here are two hypothetical claims. Your assessment of a utility site misses a weak entry point, and the client blames you for an outage. Or your arena design has errors, and the owner pays to rework access control. Injury and property damage are generally excluded from Professional Liability. General Liability (cover for injury and property damage) often excludes them too when they come from professional services. Check how both policies treat these claims.
How is $5M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$4M xs $1M" means a $4M layer above the first $1M.
Example A: one $5M policy
Example B: $2M primary plus $3M excess
Example C: $1M primary plus $4M excess
Every layer should share the same retroactive date, policy period and firm name. Excess layers should follow form, but read each one for its own exclusions. Many Professional Liability policies pay defense costs inside the limit, so confirm each layer treats defense alike.
Some small consultants buy General Liability and Professional Liability in one package, but its Professional Liability limit is usually much lower. A $5M limit is normally a stand-alone policy, often with an excess layer. A commercial umbrella almost never covers Professional Liability. If you do penetration testing or other cybersecurity work, you usually need Technology E&O instead, often paired with Cyber (coverage for data breaches and hacking).
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Each layer's carrier may review your firm.
- Your service mix, such as assessments, security design, training or litigation support, and the share of revenue from each, including critical infrastructure work.
- Whether you supply guards, armed staff or investigations, or only give advice.
- Whether you earn fees from products you recommend.
- The contract requiring $5M, your standard client agreement and how you review reports.
- Revenue, loss runs (a report of past claims) and your current policy.
What affects the cost?
- Type of work and sites. Critical infrastructure and crowded venues usually cost more than training.
- How the $5M is built. The primary layer often costs more per $1M of limit than excess layers above it.
- Claims history. Past claims can lower the limit offered and raise prices.
- Retention and defense terms. A higher retention (like a deductible) usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
Do I need $5M Professional Liability as a security consultant?
Not usually. Many security firms carry $1M, and $2M or $3M may meet many larger contracts (see $2M for security consultants and $3M for security consultants). A $5M clause usually adds excess layers that a $3M clause may not need. Check the limit in your contract first. $5M is very rare online. Morrow can help you find it.
I carry $1M or $2M today. How do I get to $5M?
Ask Morrow to request quotes for a new $5M primary or a primary with excess layers, keeping your retroactive date and prior acts coverage where the market allows. Report known incidents to your current carrier before switching.
Can my client be added as an additional insured?
Usually not. Professional Liability protects you, not your client. A certificate of insurance only shows coverage exists. Many clients accept one listing every layer. If your contract requires additional insured status, confirm it is available on every layer.
How long does it take to get $5M Professional Liability as a security consultant?
It often takes longer than a $1M policy because underwriters may review your service mix, critical site work and each layer. Send your contract and current policy early so Morrow can review them and request quotes.
Looking for $5M in Professional Liability? Morrow can help.
Send us the insurance requirement from your contract and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary and excess structure, keeping your retroactive date where the market allows.
