$3M Professional Liability (E&O) Insurance for SaaS Companies

In this guide

For SaaS companies facing a $3M contract clause: Professional Liability (E&O) is meant to respond to customer claims over software or service errors, often as one $3M primary policy or primary plus follow-form excess.

The short answer

  • Professional Liability (E&O) is meant to respond when a customer says a mistake in your software or service cost them money, subject to the policy terms.
  • Usually one $3M primary policy (pays first), or a $1M or $2M primary plus a follow-form excess layer (extra limit that uses the primary's terms).
  • $3M is less common online and often needs a broker, especially for higher-risk SaaS profiles such as payments or health data. Morrow can help you find it.

What does a $3M requirement mean for SaaS companies?

E&O stands for Errors and Omissions. Many SaaS companies buy it as Technology E&O, a form made for software and tech firms, often combined with Cyber (coverage for data breaches, network security failures and privacy claims). A $3M clause may read like this:

Illustrative contract wording

Provider shall maintain Technology Errors and Omissions insurance, including network security and privacy liability, with limits of not less than $3,000,000 per claim and $3,000,000 in the annual aggregate, covering the Subscription Services and any implementation services. Coverage shall be maintained for two (2) years after termination of this Agreement.

Illustrative example only. Real wording varies.

  • Per claim and aggregate: the most the policy pays for one claim, and for all claims in a year. Here both are $3M. See how limits are written.
  • Two years after termination: Professional Liability is almost always claims-made, meaning it responds only to claims made while the policy is active. So you usually must keep the policy, or buy extended reporting, until then.
  • Cyber is named: "network security and privacy" means Cyber. Check whether $3M applies to each coverage or to both combined.
  • No stacking language: the clause is silent on primary plus excess. Confirm with the client that primary plus follow-form excess meets it.

Who asks SaaS companies for $3M?

If you carry $1M or $2M today (see $2M for SaaS companies), a $3M request is a step up. It usually means the customer relies on your platform daily or you hold their data. Common sources:

  • Enterprise procurement teams using one standard master service agreement (MSA) for all vendors. See MSA insurance requirements.
  • Banks, lenders, payment firms and insurers running money or claims work on your platform.
  • Hospitals and health plans where your product touches patient data.
  • Retailers and logistics firms running orders through your software.
  • State agencies and universities setting the limit in the RFP (request for proposal).

How is $3M built?

A primary policy pays first. An excess policy pays only after the primary limit is used up. "$1M xs $2M" means a $1M layer above the first $2M. A commercial umbrella (extra limit above your general liability and similar policies) almost never adds to Professional Liability.

Example A: single policy

Primary policy$3M / $3M
Total: $3M per claim / $3M aggregate

Example B: two layers

Excess layer$1M xs $2M
Primary policy$2M / $2M
Total: $3M per claim / $3M aggregate

Example C: two layers

Excess layer$2M xs $1M
Primary policy$1M / $1M
Total: $3M per claim / $3M aggregate

The excess should follow form. If your primary combines Technology E&O and Cyber, check that the excess sits over both. Every layer should share the same retroactive date (the earliest date of work the policy covers) and policy period. Many policies pay defense costs inside the limit, so confirm each layer treats defense alike.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms. Expect questions on:

  • What your platform does, and whether it moves money or handles health records.
  • Your uptime history and service level agreement (SLA) promises.
  • How much implementation, data migration or custom work you do.
  • How many records you hold, what kind, and your security controls.
  • The MSA asking for $3M and your standard terms, including any limitation of liability clause (a cap on what you owe).
  • Revenue, largest customers, loss runs (a report of past claims) and your current policy.

What affects the cost?

  • What your software controls. Payments, lending or patient care platforms usually cost more than marketing tools.
  • Data volume and type. More or more sensitive records usually raise the price, especially with Cyber.
  • How the $3M is built. The primary layer usually costs the most per $1M, and excess layers are often priced lower.
  • Revenue and claims history. Larger contracts and past claims can raise price or shrink the limit.
  • Retention and defense terms. A retention works like a deductible, and a higher one usually lowers premium.

Frequently asked questions

Do I need $3M Professional Liability (E&O) as a SaaS company?

Usually only if a customer contract requires it, and enterprise agreements often do. Hypothetically, a bad release could break invoicing for weeks, or a migration could drop order history.

I have $2M Professional Liability as a SaaS company. How do I get to $3M?

Request new quotes for a $3M primary policy or a follow-form excess layer above your current primary. Morrow can request both and ask carriers to keep your retroactive date and prior acts coverage (coverage for work done before the new policy starts) where the market allows. Report known incidents to your current carrier before you switch.

Can I add my customer as an additional insured on SaaS Professional Liability?

Usually not on Professional Liability. Some forms offer limited customer coverage for claims arising from your services when a written contract requires it, and this varies by carrier. Many customers accept a certificate of insurance (a one-page proof of coverage) listing each layer with its limit and policy period. A certificate shows coverage exists but usually gives the customer no rights under the policy.

Is $3M enough if my customer later asks for $5M?

Not if the new contract says $5M, so you would need more limit. $5M is much harder to find online and usually needs a broker, though it varies by carrier and risk. Morrow can help you find it. See $5M Professional Liability for SaaS companies.

Looking for $3M in Professional Liability? Morrow can help.

Send us the insurance requirement from your MSA and your current policy. Morrow can review both and request quotes for a $3M primary policy or a primary and excess structure, keeping your retroactive date where the market allows.
