For revenue cycle management firms asked by a hospital or health plan for $3M in Professional Liability, the limit usually comes as one $3M primary policy or a primary plus follow-form excess.
The short answer
- $3M in Professional Liability is usually met with one primary policy or a primary plus a follow-form excess layer, and hospital systems and health plans may ask revenue cycle management (RCM) firms to carry it.
- Confirm with the client that primary plus excess meets the clause. Clients often ask for Cyber Liability (which covers data breaches) too.
- $3M is rarely available online and is usually placed through a broker. Morrow can help you find it.
What does a $3M requirement mean for revenue cycle management firms?
Professional Liability (E&O, for Errors and Omissions) covers claims that a mistake in your services cost a client money. In a hospital or health plan vendor agreement, a $3M clause might read:
Illustrative contract wording
Vendor shall maintain Professional Liability (Errors and Omissions) insurance covering coding, billing, claims submission and denial management services, with limits of not less than $3,000,000 per claim and $3,000,000 annual aggregate, and Cyber Liability insurance with limits of not less than $3,000,000. If written on a claims-made basis, coverage shall be maintained for three (3) years after termination of this Agreement.
Illustrative example only. Actual contract wording varies.
- Per claim and aggregate: the most paid for one claim, and for all claims in a year. A $1M/$3M policy would not meet this clause.
- Claims-made: Professional Liability almost always covers claims made against you and reported to the carrier while the policy is active, for work done after the retroactive date (the earliest date of work the policy covers).
- After the contract ends: payer audits can reach back years, so renew every layer with the same retroactive date. If a layer is not renewed, you may need an extended reporting period (tail, extra time to report claims) on every layer to meet a post-termination clause.
- Two coverages: Cyber is often a separate policy, or part of a combined Technology E&O and Cyber form, with its own limit.
Who asks revenue cycle management firms for $3M?
Many practice clients ask for $1M or $2M. $3M comes up when the client has a lot at stake, and some very large systems ask for $5M:
- Hospital systems outsourcing coding, denial appeals and older unpaid bills (aged accounts receivable).
- Health plans hiring vendors to review claims and catch overpayments (called payment integrity).
- Large medical groups that hand off the full cycle.
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$1M xs $2M" means a $1M layer above the first $2M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it uses the same terms as the primary, with the same retroactive date and policy period. Many Professional Liability policies pay defense costs inside the limit, so a long dispute over a payer taking back payments (recoupment) can shrink what is left. RCM firms often buy Miscellaneous Professional Liability. If you mainly sell RCM software, Technology E&O may fit better. Licensed clinicians usually buy medical malpractice.
Good to know
Hypothetical claims at this size. A coding rule set up wrong runs for a year, a payer audit takes back a large sum, and the client blames you for the loss. A system change stops secondary claims, and filing deadlines pass.
What will underwriters ask for?
Underwriters, who decide whether to offer coverage, may ask each layer about your firm:
- Which parts of the cycle you handle, such as coding and denials, with revenue from each.
- Dollars you collect each year, and your largest client's share.
- Coding audits, coder certification, and how you track payer rules.
- Offshore staff, subcontractors, and business associate agreements (contracts on protecting patient information).
- The hospital or health plan contract asking for $3M, including any indemnity (a promise to pay the client's losses).
- Three to five years of loss runs (a report of past claims).
What affects the cost?
- Service mix. Coding and payment integrity work usually costs more to insure than front-end work like patient registration.
- Revenue under management. More dollars usually mean bigger losses.
- How the $3M is built. The primary layer usually costs the most per $1M of limit. Excess layers are often, but not always, priced lower per $1M.
- Claims history and controls. Past claims or weak audits can raise the price.
- Retention and defense terms. A retention works like a deductible, and a higher one usually lowers premium. Defense outside the limit usually costs more.
Frequently asked questions
I carry $1M or $2M now. How do I get $3M Professional Liability as an RCM firm?
You can request new quotes through Morrow for a new $3M primary policy or excess layers above a primary. Morrow can ask carriers to keep your retroactive date and prior acts coverage where the market allows. Report any known incident to your current carrier before you switch.
Does Professional Liability pay when a payer takes money back from my RCM firm?
It depends on the wording, but policies typically do not pay the return of overpayments or recouped amounts. Claims tied to government-program billing, fraud or regulators are often excluded or sublimited (capped at a lower limit). What may be covered is a client's resulting loss, such as lost revenue from missed deadlines, plus defense costs.
Can my commercial umbrella fill the gap to $3M?
Almost never. Umbrellas usually exclude professional services, so you need follow-form excess Professional Liability (see umbrellas and Professional Liability).
Can the hospital be added as an additional insured on my Professional Liability?
Usually not. Professional Liability protects you against claims from clients, so additional insured status is not automatic. A certificate of insurance only shows that coverage exists and gives the holder no rights under the policy.
