$2M Professional Liability (E&O) Insurance for Regulatory Compliance Consultants

In this guide

For regulatory compliance consultants whose client asks for $2M: you need Professional Liability that pays up to $2M per claim. Below: what it means, who asks, and what to send.

The short answer

  • A $2M requirement usually means your Professional Liability (E&O) policy must pay up to $2M on a single claim. A policy with a $1M per claim limit does not meet that.
  • Large manufacturers, energy projects and agencies often ask for it.
  • Next step: send Morrow your contract's insurance clause and your current policy. Morrow can review them, request quotes for $2M, and review whether your policy describes every service you sell, including permits and filings.

What does a $2M requirement mean for regulatory compliance consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your advice or services cost a client money. A $2M clause may read like this:

Illustrative contract wording

Consultant shall maintain Professional Liability insurance covering all regulatory compliance, permitting, auditing and training services under this Agreement, with limits of not less than $2,000,000 per claim and $2,000,000 annual aggregate. If written on a claims-made basis, the retroactive date shall be no later than the Effective Date, and coverage shall be maintained for three (3) years after the Services end.

Illustrative example only. Your contract's wording controls.

  • Per claim: the most the policy pays for one claim. Here, $2M.
  • Aggregate: the most the policy pays for all claims in one policy year. Here, also $2M.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work on or after the retroactive date (the earliest date of work the policy covers).
  • Listed services: if the clause names permitting or auditing, your policy should describe that work too.

Who asks regulatory compliance consultants for $2M?

Many projects stay at $1M (see $1M for regulatory compliance consultants). $2M shows up when a mistake could stop a plant or a product line:

  • Chemical, food and drug manufacturers hiring help with process safety or audit readiness.
  • Energy and utility companies hiring permit, environmental or safety program support for a large site.
  • General contractors and owners on big construction projects that need site safety plans or stormwater compliance.
  • State and federal agencies buying multi-year compliance reviews or program support.
  • Prime consulting or engineering firms passing their client's $2M requirement down to you.

How is $2M built?

At $2M, the limit is often one primary policy (the policy that pays first). It can also be a $1M primary plus a $1M excess layer (a second policy that pays after the first is used up). Excess should follow form, meaning it uses the primary policy's terms.

Compliance consultants often buy Miscellaneous Professional Liability. It is a broad policy for advice work. Many of these policies limit or exclude environmental work, such as permitting, sampling or pollution services. If that is part of your work, you may need an environmental consultants policy instead. Engineers who sign and seal plans usually need architects and engineers (A&E) Professional Liability.

  • Umbrella: a commercial umbrella (an extra liability policy on top of general liability) almost never covers Professional Liability, because most umbrellas exclude professional services. See Does an umbrella cover Professional Liability?
  • Additional insured: clients usually cannot be added as an additional insured (an extra party the policy protects) on Professional Liability. Where a carrier allows it, terms are narrow and vary.
  • If you carry $1M today: ask Morrow to request new quotes for $2M, either one new primary or excess layers. Morrow can ask for your retroactive date and prior acts coverage (cover for past work) to carry over where the market allows. Report any known incidents to your current carrier before you switch.

Good to know

Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit. A long permit dispute can use up much of the $2M. See defense costs inside or outside the limit.

What will underwriters ask for?

An underwriter is the person at the insurer who decides whether to offer coverage and on what terms. At $2M, they often look more closely at:

  • Which rules you work under, such as workplace safety, environmental, food and drug, product safety or transportation, with a share of revenue for each.
  • Whether you only advise, or also prepare, sign or submit permits and filings.
  • Any field work, sampling or testing, and whether a licensed engineer reviews it.
  • Revenue, written scopes, loss runs (a report of past claims), and your current policy.

What affects the cost?

  • Type of compliance work. Environmental permitting and drug or device work may cost more to insure than training or general safety reviews.
  • Sign-off role. Submitting or certifying on a client's behalf may raise the risk an underwriter sees.
  • Policy structure. A single $2M primary or a primary plus excess can price differently. Defense costs outside the limit may add cost.
  • Project size. A large plant or multi-year agency contract means bigger possible losses.
  • Retention and claims history. The retention (what you pay on each claim before the policy pays, like a deductible) and past claims affect price.

Frequently asked questions

Do I need $2M Professional Liability as a regulatory compliance consultant?

Often yes, if your client's contract asks for it. Here is a hypothetical example of why clients ask: a process safety program you wrote leaves out a required review, a regulator finds it, and the client shuts a unit down to fix it. Depending on the wording, a policy may pay your defense on a covered claim, but many policies exclude the fines themselves.

Is $1M/$2M enough if my contract says $2M?

Not if the clause asks for $2M per claim. A $1M/$2M policy pays up to $1M per claim and $2M for all claims in the policy year. For a $2M per claim clause, you likely need a $2M/$2M policy or a primary plus follow-form excess. Confirm with the client that primary plus excess meets the clause.

Can I get more than $2M in Professional Liability as a compliance consultant?

Yes, but $3M and above is rarely found online, and $5M and above is very rare online and almost always needs a broker. Morrow can help you find them. See $3M for regulatory compliance consultants.
