For real estate consultants whose client wants $3M: it is a high limit, usually built as one $3M primary policy or as a primary plus a follow-form excess layer.
The short answer
- $3M in Professional Liability (E&O) means your policy must pay up to $3M per claim. It is a high limit for real estate consultants, usually asked on large deals or lender-relied reports.
- It is often built as one $3M primary policy, or as a $1M or $2M primary plus a follow-form excess layer on top.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for real estate consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or work caused a client a financial loss. A $3M clause might read like this:
Illustrative contract wording
Consultant shall maintain Professional Liability (Errors and Omissions) insurance covering the advisory services in this Agreement, with limits of not less than $3,000,000 per claim and $3,000,000 in the annual aggregate. The retroactive date shall precede the start of services, and coverage shall be maintained for three (3) years after the final report is delivered.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in the policy year.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active. The retroactive date is the earliest date of work the policy covers. A study may be tested years later, when the project sells.
- "Covering the advisory services": each layer should describe your consulting work, not only brokerage.
- Primary plus excess: this clause does not say layers are allowed. Confirm with the client that primary plus follow-form excess meets the clause.
Who asks real estate consultants for $3M?
$3M tends to come from:
- Property investment firms (including REITs) and institutional owners hiring you for portfolio strategy or lease audits.
- Lenders that will base a large construction or acquisition loan on your market or feasibility study.
- Developers of large mixed-use, multifamily or industrial projects hiring you for market demand, lease-up speed (how fast space fills) or site studies.
- Public agencies ordering redevelopment or housing studies, where bid documents set the limit.
Compared with $2M and $1M, a $3M clause usually points to larger deals or a lender relying on your report. It often means a primary plus excess layer instead of one policy.
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer above the first $1M.
Example A: single policy
Example B: two layers
Example C: two layers
The excess should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date, policy period and insured name (the business listed on the policy).
Real estate consultants often buy Miscellaneous Professional Liability, a form for service businesses without their own policy type. Licensed agents usually buy real estate E&O, which may need to name the consulting work. Owner's representative work (managing a project for the owner) or construction management may need a separate contractors professional policy.
Good to know
Defense costs can use up the limit. Many Professional Liability policies pay defense costs inside the limit. Confirm each layer treats it the same way. See defense costs inside or outside limits.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Expect questions on:
- Each service, such as market studies, feasibility, site selection or lease audits, with a share of revenue from each.
- Whether you hold a real estate license, earn commissions or sign appraisals.
- Property types and your largest projects.
- Who relies on your reports, including lenders and investors, and whether you sign reliance letters.
- Whether you invest in projects you advise on, or are paid a fee only if the deal closes.
- Your engagement letter, three to five years of loss runs (a report of past claims), and your current policy.
What affects the cost?
- Type of advice. Studies that lenders rely on often cost more to insure than research or lease administration.
- Deal size and revenue. Larger projects mean bigger losses.
- How the $3M is built. The primary layer usually costs the most per $1M of limit. Excess is usually priced lower per $1M.
- Mixed roles and claims history. Brokerage, appraisal, ownership stakes or prior claims can add cost.
- Retention and defense terms. Retention works like a deductible. A higher one usually lowers premium.
Frequently asked questions
What kind of claim could reach $3M for a real estate consultant?
A large project or loan loss tied to your advice could. Here are a few hypothetical examples. A developer says your demand study overstated how fast space would fill, and a large project sat half empty. A lender says it relied on your market report and lost money on the loan.
Do I need $3M Professional Liability as a real estate consultant if I only have $1M?
Only if your contract says so. If it does, request new quotes for a $3M primary policy, or for excess layers above a primary. Morrow can ask carriers to keep your retroactive date and prior acts coverage (cover for past work) where the market allows. Report known incidents to your current carrier before you switch.
Can my commercial umbrella count toward a $3M Professional Liability requirement?
Almost never. A commercial umbrella usually excludes professional services. See Does a commercial umbrella cover Professional Liability?
Can a lender or developer be added as an additional insured on my $3M policy?
Usually not. Professional Liability protects you against claims from clients. Some clients accept a certificate of insurance (a one-page summary proving coverage) that lists every layer, with its policy number, limit and dates. Check your contract for what the client will accept.
