Publishers asked by a studio or global brand for $5M need $5M per claim and in total, usually as one primary policy or a primary policy plus follow-form excess layers.
The short answer
- A $5M requirement means your Professional Liability must pay up to $5M per claim and in total, usually for one high-stakes deal such as a screen adaptation or global campaign.
- It can be one $5M primary policy, or a smaller primary plus one or two follow-form excess layers. Every layer should include media liability.
- $5M is very rare online and almost always requires a broker. Morrow can help you find it.
What does a $5M requirement mean for publishers?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your work caused someone a loss. Publishers usually buy it as media liability, which covers claims of defamation, invasion of privacy, and copyright or trademark infringement in content you publish. A $5M clause might read:
Illustrative contract wording
Publisher shall maintain Professional Liability insurance, including media liability covering defamation, invasion of privacy, and infringement of copyright, trademark or title, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. Coverage may be met through primary and follow-form excess policies and shall be maintained for five (5) years after the last date of distribution.
Sample wording for illustration only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in one policy year.
- Claims-made: Professional Liability almost always covers claims made while the policy is active, for work after the retroactive date (the earliest date of work it covers). See retroactive dates.
- Years after distribution: usually renew every layer with the same retroactive date.
Who asks publishers for $5M?
Most publishers are asked for $1M, $2M or $3M. Compared with $3M, $5M usually means a bigger partner or a wider release, and often one more excess layer. It usually reflects the partner's exposure:
- Film, streaming or audio studios buying rights to a book, series or story.
- Global brands and agencies paying for sponsored books or campaigns in many countries.
- National retailers or distributors carrying a high-profile title.
- Government agencies, where the limit may appear in the request for proposal (RFP).
How is $5M built?
A primary policy pays first. An excess policy pays only after the layers below it are used up. "$3M xs $2M" means a $3M layer that sits above the first $2M.
Example A: single policy
Example B: two layers
Example C: three layers
Each excess layer should follow form, meaning it adopts the primary policy's terms, including its media coverage. All layers should share the same retroactive date and named insured (the business the policy covers). A commercial umbrella almost never covers Professional Liability (see does an umbrella cover Professional Liability).
Good to know
Defense costs count. Many Professional Liability policies pay defense costs inside the limit. A long infringement suit could use much of $5M on lawyers before any settlement. See defense costs inside or outside the limit.
What will underwriters ask for?
An underwriter decides whether to offer coverage. At $5M, each layer's carrier may review your firm.
- The deal behind the request: the partner, the title or campaign and the countries.
- Whether a media lawyer reviewed that title before release.
- Rights clearance records for images, quotes, music and archival material, including any use of AI tools.
- Author and freelancer contracts, including any indemnity (a promise to pay another party's losses).
- Your log of complaints and takedown notices.
- Revenue by line of business, loss runs (a report of past claims) and your current policy with its retroactive date.
What affects the cost?
- The title or campaign. Content about real people or companies usually costs more to insure than fiction or reference work.
- Reach and adaptations. Global reach and screen or audio versions can raise the size of a claim.
- How the $5M is built. The primary layer usually costs the most per $1M of limit. Higher excess layers usually cost less per $1M.
- Claims history. Past claims can shrink the limit a carrier will offer.
- Retention and defense terms. A higher retention (like a deductible) usually lowers premium.
Frequently asked questions
Do publishers face claims big enough to need $5M?
They can, because one claim over a high-profile title may be large. Hypothetical examples: a nonfiction book says a company founder misled investors, and the founder sues the publisher. An author alleges your published novel copied their earlier screenplay, and the studio that licensed it for a series demands that you honor your indemnity (a promise to cover its losses). Coverage for each depends on the policy wording.
I already have $1M to $3M. How do I get to $5M?
Request new quotes through Morrow, either for a new $5M primary policy or for excess layers above a primary. Ask to keep your retroactive date where the market allows. Report any known incident to your current carrier before switching. $5M is very rare online and almost always requires a broker. Morrow can help you find it.
Can I add a studio or brand as an additional insured?
Sometimes on publisher media liability, but rarely on generic Professional Liability. Media liability policies often let a carrier add a studio, licensee or distributor as an additional insured (a partner the policy also protects) for the content in the contract. It is not automatic, and the carrier at each layer must agree. If your clause asks for it, every excess layer should follow it. Some partners accept a certificate of insurance (a one-page proof of coverage) listing every layer. Check your contract.
How long does it take a publisher to get $5M Professional Liability?
It varies, and more layers usually take longer. Timing depends on how soon the title's rights records and contracts are ready and how each carrier reviews the deal.
