$10M Professional Liability (E&O) Insurance for Managed Service Providers (MSPs)

In this guide

For managed service providers (MSPs) whose enterprise client requires $10M, Professional Liability (E&O) at that limit may be possible, usually built from a primary policy plus follow-form excess layers.

The short answer

  • A $10M requirement usually means $10M per claim / $10M aggregate (the most paid for one claim, and for all claims in a year), and for an MSP it is usually built from a primary policy plus excess layers.
  • MSPs usually buy Technology E&O (errors and omissions coverage for tech services), often combined with Cyber (coverage for data breaches and system attacks).
  • $10M is very rare online. You will almost always need a broker who can request quotes from excess markets. Morrow can help you find it.

What does a $10M requirement mean for managed service providers?

Professional Liability (E&O, for Errors & Omissions) insurance can help when a client says your work cost them money. A $10M clause often reads like this:

Illustrative contract wording

Provider shall maintain Technology Errors and Omissions insurance, which may be combined with cyber liability coverage, with limits of not less than $10,000,000 each claim and $10,000,000 annual aggregate. Required limits may be met through any combination of primary and excess policies.

Illustrative example only. Actual contract wording varies.

  • Each claim and annual aggregate: the clause sets both numbers.
  • Claims-made: the policy covers claims made while it is active. The retroactive date is the earliest work date it covers. Contracts often ask you to keep coverage for a set time after the contract ends.
  • Cyber wording: check whether each gets its own limit or they share one. See Professional Liability vs. Cyber.
  • Primary plus excess: the last sentence lets you stack policies. If yours does not, confirm with the client that primary plus follow-form excess meets the clause.

Who asks managed service providers for $10M?

The number follows the client's exposure. $10M may come from:

  • Large enterprises that put the limit in a master services agreement (MSA).
  • Banks, insurers and other financial firms
  • Healthcare systems and health plans.
  • Government agencies, where the limit is often in the request for proposal (RFP).

Good to know

Hypothetical examples, not real events. An MSP manages 40 clients through one remote tool. A faulty update goes out overnight and many clients lose a day of work. Policies often treat related claims from one error as one claim, so affected clients may share one limit.

How is $10M built?

A primary policy pays first. An excess policy pays after the primary limit is used up. "$5M xs $5M" means a $5M layer above the first $5M. At $5M, a single primary policy may be possible. At $10M, an excess layer is usually needed.

Example A: two layers

Excess layer$5M xs $5M
Primary policy$5M / $5M
Total: $10M per claim / $10M aggregate

Example B: three layers

2nd excess layer$5M xs $5M
1st excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $10M per claim / $10M aggregate
Block height shows the size of each limit.

Each excess layer should follow form. That means the same retroactive date, policy period and named insured (the business the policy covers). Many Professional Liability policies pay defense costs (legal fees) inside the limit, so legal fees shrink the money left for a claim. Check that every layer treats defense the same way. If you know of an incident, report it to your current carrier before you switch.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms.

  • Size and mix of work: clients, users and devices you manage, and your revenue sources.
  • Security and promises: whether you sell monitored security, backups or compliance help, and whether contracts promise uptime.
  • Your own controls: multi-factor authentication (MFA) on admin and remote management tools, and how you store client passwords.
  • Change and backup practice: testing updates before rollout and regular tests that backups can be restored.
  • Contracts: the $10M clause and your standard agreement.
  • History: three to five years of loss runs (a report listing past claims), plus your current policy with its retroactive date.

What affects the cost?

  • Size and access. More clients and devices, and deeper access to client systems, usually mean higher cost.
  • Services and promises. Security, compliance and uptime guarantees usually cost more than basic help desk work.
  • How the $10M is built. The primary layer usually costs the most per $1M of limit.
  • Controls, claims and terms. Past claims can raise price. A higher retention (like a deductible) may lower premium.

Frequently asked questions

Do I need $10M Professional Liability (E&O) as a managed service provider?

Yes, if your contract requires it. Many large clients ask for $10M in the contract, and the clause often lets you reach it with primary and excess policies. Send Morrow the clause and Morrow can request quotes.

Can a small MSP get $10M in Professional Liability?

Sometimes, but it depends heavily on underwriting (the carrier's review of your risk). Smaller firms are often limited to lower limits. $10M is more often available to mid-size or larger MSPs with strong controls and clean claims history. Morrow can help you find it.

Does my commercial umbrella count toward a $10M Professional Liability requirement?

Almost never. A commercial umbrella usually excludes professional services. You usually need a higher primary limit or follow-form excess Professional Liability. Read more on umbrellas.

Can my client be added as an additional insured on my MSP Professional Liability?

Usually not. Some Technology E&O policies may add a client as an additional insured (a party covered under your policy) in limited cases, such as when a written contract requires it. That cover applies only to liability that comes from your services. If a client requires it, each excess layer would need to match.

Looking for $10M in Professional Liability? Morrow can help.

Send us the insurance requirement from your contract and your current policy. Morrow can review both and request quotes for a new primary policy at the higher limit or a primary and excess structure, keeping your retroactive date and prior acts coverage (coverage for past work) where the market allows.
