$5M Professional Liability (E&O) Insurance for Legal Support and Document Service Firms

In this guide

Legal support and document service firms asked for $5M in Professional Liability often meet it with primary plus follow-form excess layers or, where a market offers it, one $5M primary policy.

The short answer

  • Legal support firms asked for $5M in Professional Liability (E&O) often meet it with a primary policy plus one or two follow-form excess layers, mostly on large e-discovery, review or records contracts.
  • $5M is very rare online and almost always needs a broker who can reach excess and surplus lines (E&S) and other excess markets, which cover risks standard carriers often decline. Morrow can help you find it.

Professional Liability (E&O, short for Errors and Omissions) covers claims that a mistake in your work cost a client money. At $5M, the client is usually worried about one large matter, such as privileged files produced by mistake. A clause might read like this:

Illustrative contract wording

Vendor shall maintain Professional Liability insurance covering the electronic discovery, hosting and review services under this Agreement, with limits of not less than $5,000,000 per claim and $5,000,000 in the annual aggregate. Limits may be met through primary and excess policies.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: the most paid for one claim, and for all claims in one policy year. $5M each here. See how limits are written.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active. The retroactive date is the earliest date of work the policy covers.
  • Primary plus excess: this clause allows it. If yours is silent, confirm with the client that primary plus follow-form excess meets the clause.

Most paralegals, document preparers and court reporters rarely see a $5M request. It tends to appear in contracts for hosted e-discovery, managed review and records storage, usually from:

  • Large corporate legal departments hiring e-discovery or managed review vendors for major litigation or investigations.
  • Large law firms setting one vendor standard for discovery and hosting work.
  • Government agencies buying records or transcription services, with the limit set in bid documents.
  • Master service agreements (one contract covering many projects) with one high limit for all vendors.

How is $5M built?

A primary policy pays first. An excess layer is a separate policy that pays only after the layer below it is used up. "$3M xs $2M" means a $3M layer that sits above the first $2M. A stack of policies like this is called a tower.

Option 1: one policy

Primary policy$5M / $5M
Total: $5M / $5M

Option 2: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M / $5M

Option 3: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M / $5M

Compared with $3M, $5M usually needs more layers or a primary policy that fewer markets offer. Morrow can help you find it. Compared with $10M, it often needs fewer layers.

Each excess layer should follow form, meaning it uses the same terms as the primary policy. All layers should share the same retroactive date, policy period and insured business name. Many Professional Liability policies pay defense costs inside the limit, so check that each layer treats defense the same way.

Attorneys usually buy lawyers professional liability instead of this coverage. E-discovery and records vendors that host or process client data often also need Technology E&O (covers mistakes in tech services and software) and Cyber (covers data breaches and related costs).

If you already carry a lower limit, Morrow can request new quotes for a $5M primary or for excess layers above it, keeping your retroactive date and prior acts coverage (cover for work done before the new policy starts) where the market allows.

What will underwriters ask for?

An underwriter is the carrier's risk reviewer. Each carrier in the tower may review your firm.

  • An application listing each service, such as hosting, review, court reporting or records storage, with its share of revenue.
  • Revenue, largest clients and current big matters.
  • The contract requiring $5M, including its indemnity section (who pays if something goes wrong).
  • Quality steps such as privilege review, second-level checks, deadline tracking and reviewer supervision.
  • Where client data is hosted and who can access it.
  • Loss runs (your claims history report) for three to five years and your current policy. Excess carriers often ask for the primary policy too.

What affects the cost?

  • Type of work. Hosting and managed review may cost more to insure than transcription.
  • Matter size. Bigger cases and data sets mean a bigger possible loss.
  • How the tower is built. The primary layer usually costs the most because it pays first. Higher layers usually cost less per $1M.
  • Claims history. Past claims can raise the price of every layer.
  • Retention and defense terms. The retention is what you pay on each claim before the policy pays, like a deductible. A higher one usually lowers premium. Defense outside the limit usually costs more.

Frequently asked questions

Can a small legal support firm get $5M Professional Liability?

Sometimes, but not every firm is offered $5M. It depends on underwriting, revenue, services, claims history and the contract. Morrow can review your contract and request quotes.

Can my commercial umbrella cover a $5M Professional Liability requirement for e-discovery work?

Almost never. A commercial umbrella usually excludes professional services. You usually need a higher primary limit or excess Professional Liability. Read more on umbrellas.

Can my client be added as an additional insured on my $5M Professional Liability policy?

Usually not. Most Professional Liability policies do not let a client be added as an additional insured, and the carrier decides. Ask the client what proof it will accept. Some clients may accept a certificate of insurance (a one-page summary of your coverage) listing every layer.

How long does it take to put $5M Professional Liability in place for a legal support firm?

Often a few weeks or more, because each carrier in a tower may underwrite separately. Firms with several service lines, such as hosting and court reporting, may be asked for more detail on each.

Looking for $5M in Professional Liability? Morrow can help.

Send Morrow the contract requirement (the insurance section of your contract) and your current policy. Morrow can review both and request quotes for a single $5M policy and for a primary plus excess tower. Terms depend on underwriting.
