For IT staffing firms facing a client's $5M clause: it usually means $5M per claim, often met with a primary policy plus excess layers (extra limit above the primary).
The short answer
- IT staffing firms usually meet a $5M requirement with a larger primary policy or a primary plus excess layers, and large enterprises, banks, health systems and government contractors often ask for it.
- It is often built as a smaller primary policy plus one or more excess layers.
- $5M is very rare online. It almost always takes a broker to place it. Morrow can help you find it.
What does a $5M requirement mean for IT staffing firms?
Professional Liability (E&O, short for Errors and Omissions) covers claims that a service mistake cost a client money. A $5M clause might read:
Illustrative contract wording
Supplier shall maintain Professional Liability (Errors and Omissions) insurance covering its staffing and statement of work (SOW) services and the acts of all personnel it furnishes, with limits of not less than $5,000,000 per claim and $5,000,000 annual aggregate. Limits may be satisfied by primary and excess policies. If claims-made, coverage shall be maintained for three (3) years after this Agreement ends.
Illustrative example only. Your contract's wording controls.
- Per claim and aggregate: the most paid for one claim, and for all claims in one policy year.
- "All personnel it furnishes": this may include corp-to-corp (C2C) contractors and subvendor staff, depending on your contract's wording. Check that every layer covers them.
- Claims-made: Professional Liability almost always covers claims first made and reported while the policy is active, for work on or after the retroactive date (the earliest date of work covered).
- Primary plus excess: this clause allows stacking. If yours is silent, confirm with the client that primary plus follow-form excess meets it.
Who asks IT staffing firms for $5M?
Many IT staffing contracts ask for $1M to $2M (see $2M for IT staffing firms and $3M for IT staffing firms). Compared with $3M, a $5M clause usually comes from a client that sees one failed project as a multi-million loss, and it more often needs excess layers. Common sources:
- Global enterprises whose master services agreement (MSA) sets one limit for all vendors.
- Banks, insurers and payment processors placing engineers in core banking or payment systems.
- Health systems and health plans running electronic health record or claims system projects.
- Government prime contractors (the main vendor on a public contract) on large IT modernization programs.
- Managed services or SOW work, where your firm owns a deliverable.
How is $5M built?
A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" ("xs" means excess of) is $3M of cover that starts above the first $2M. Stacked layers are called a tower.
Example A: single policy
Example B: two layers
Example C: three layers
Each excess layer should follow form, meaning it uses the primary policy's terms. Layers should also share one retroactive date and policy period. A single $5M policy (Example A) is also possible, depending on underwriting. A commercial umbrella almost never covers Professional Liability (see does an umbrella cover Professional Liability?).
Firms that mostly supply contractors often buy a staffing or Miscellaneous Professional Liability form. SOW and managed services work may call for Technology E&O, often with Cyber (coverage for data breaches and network incidents) (see Technology E&O vs. Miscellaneous E&O).
Good to know
Defense costs can use up the limit. Many Professional Liability policies pay legal defense costs inside the limit, so fees shrink what is left. Check that every layer treats defense the same way.
What will underwriters ask for?
An underwriter decides whether to offer coverage and on what terms. Requests vary by carrier. Common items:
- Revenue split between contract staffing, direct hire, SOW and managed services, and your largest client's share.
- Who directs the work: the client's managers, or your firm under a SOW.
- What systems placed workers touch, such as production, payment flows or patient data.
- How you check skills and references before placement.
- Your use of C2C contractors, subvendors and offshore teams.
- The contract requiring $5M, loss runs (reports of past claims, often for several years) and your current policy with its retroactive date.
What affects the cost?
- SOW and managed services work. Owning outcomes often costs more than supplying people.
- Client industries and system access. Finance, healthcare, government and production access mean bigger losses.
- How the tower is built. The primary layer usually costs the most per $1M. Higher excess layers often cost less per $1M.
- Retention. What you pay per claim before the policy pays, like a deductible. A higher one may lower premium.
- Claims history. Past claims can shrink the limit offered.
Frequently asked questions
Do I need $5M Professional Liability as an IT staffing firm?
Only if your contract or MSA asks for it. A $5M claim can come from one costly mistake. Two hypothetical examples follow. Your SOW team migrates a bank's payment platform, and a data mapping error sends duplicate payments. Or a managed services contractor pushes an untested change to a hospital scheduling system, and the health system claims lost revenue. A policy may pay defense costs on a covered claim, subject to its terms and limit.
Can I get from $2M to $5M Professional Liability?
It may be possible, depending on underwriting. Send Morrow your current policy and the contract. Morrow can request quotes for a new $5M primary policy, or for excess layers above a primary, keeping your retroactive date and prior acts coverage (coverage for earlier work) where the market allows. Report known incidents to your current carrier before switching.
How long does it take to get $5M Professional Liability?
Timing varies, and more layers may take longer because each one is reviewed separately. Your certificate of insurance (proof of coverage for a client) should list every layer.
Looking for $5M in Professional Liability? Morrow can help.
Send us the contract requirement and your current policy. Morrow can review both and request quotes for a $5M primary policy or a primary and excess structure. Whether a carrier offers terms depends on underwriting.
