A HIPAA compliance consultant asked by a hospital system or health plan for $3M can usually meet it with one primary policy or a primary plus follow-form excess layer.
The short answer
- You can usually meet a $3M Professional Liability (E&O) requirement with one $3M primary policy or a smaller primary plus a follow-form excess layer (extra limit that adopts the primary's terms).
- $1M to $2M is the usual ask. Some hospital systems, health plans and large business associates set $3M. Confirm with the client that primary plus excess meets the clause.
- $3M is rarely available online and is usually placed by a broker. Morrow can help you find it.
What does a $3M requirement mean for HIPAA compliance consultants?
Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services caused a client a loss. A $3M clause may read like this:
Illustrative contract wording
Vendor shall maintain Professional Liability (Errors and Omissions) insurance covering privacy, security and regulatory compliance services, with limits of not less than $3,000,000 each claim and $3,000,000 annual aggregate, and Network Security and Privacy (Cyber) liability insurance. Claims-made coverage shall have a retroactive date no later than the start of services and be maintained for three (3) years after this Agreement ends.
Illustrative example only. Your contract controls.
- Each claim and aggregate: the most paid for one claim, and for all claims in a year.
- Three years after the agreement ends: Professional Liability is almost always claims-made, meaning it covers claims first made while the policy is active. You can usually meet this by renewing every layer with the same retroactive date (the earliest work date covered), or by buying an extended reporting period (a tail, which gives extra time after the policy ends to report past work), if the policy offers one.
- Cyber is separate: Cyber (Network Security and Privacy) liability pays for data breach response costs and privacy claims. A standard Professional Liability policy usually does not meet that part. Some Technology E&O forms (built for technology services) include Cyber cover. If you want one combined policy, confirm it meets the clause. See Professional Liability vs Cyber.
Who asks HIPAA compliance consultants for $3M?
Most HIPAA consultants are asked for $1M to $2M. $3M usually shows up when a client holds many patient records or a project spans many sites, often in a negotiated vendor contract. A $2M requirement can often be met with one primary policy. $3M often calls for a second layer or a broker-placed primary. $5M is very rare online and almost always needs a broker. Morrow can help you find them.
- Some hospital systems hiring risk analysis help.
- Some health plans onboarding vendors.
- Business associates (outside firms that handle patient information for a hospital or plan).
How is $3M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$2M xs $1M" means a $2M layer that sits above the first $1M.
Example A: single policy
Example B: primary plus excess
The excess should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date, policy period and named insured. A commercial umbrella (extra limit above your general liability policy) almost never covers Professional Liability. HIPAA consultants often buy Miscellaneous Professional Liability, a general form for advice-based services. For mostly hands-on security testing, Technology E&O may fit better. See Technology E&O vs Miscellaneous E&O.
Good to know
Watch privacy and regulatory exclusions. Some forms exclude privacy breach claims or government proceedings, which can remove much of a HIPAA consultant's cover. Many policies pay defense costs inside the limit, so check that each layer treats defense the same way.
What will underwriters ask for?
An underwriter is the insurer's person who decides whether to offer coverage.
- Your revenue split across risk analyses, policy writing, training, audit preparation and breach response.
- Whether you review billing and coding. Errors there can make payers take back money they paid (called recoupment).
- Your largest clients and how many records they hold.
- Whether you store patient data, and the business associate agreements you sign.
- Three to five years of loss runs (a report of past claims), any breach or government inquiry tied to your work, and your current policy.
What affects the cost?
- Type of work. Breach response, security testing and coding reviews usually cost more than training work.
- How the $3M is built. The primary layer usually costs the most per $1M.
- Claims history. Past claims can raise cost or shrink the limit offered.
- Retention and defense terms. A retention works like a deductible. A higher one usually lowers cost.
Frequently asked questions
Do I need $3M Professional Liability (E&O) as a HIPAA compliance consultant?
You need it if your contract says so. Hypothetical examples (not real claims): a hospital sues after a breach it says your risk analysis should have caught, or a client loses money after your coding review has errors. Fines and penalties are often excluded or capped at a lower limit than the main policy limit. Defense costs may be covered, depending on the policy wording.
I have $1M now. Can I reach $3M with a primary plus excess instead of one new policy?
Often yes. Request new quotes through Morrow, either for a new $3M primary or for excess layers above a primary. Morrow can request quotes that keep your retroactive date and prior acts coverage where the market allows. Report known incidents to your current carrier before switching.
Can a hospital be added as an additional insured on my HIPAA consultant Professional Liability?
Not automatically. An additional insured is an extra party given rights under your policy. Some carriers will add a client, usually limited to the client's liability arising from your services, and others decline. If your contract requires it, make sure every layer allows it, since the excess must follow. Many clients accept a certificate of insurance (a one-page proof of coverage) listing every layer. Some ask for the policy.
How long will it take to get $3M in place?
Two layers usually take longer than one policy, but timing varies. Send the contract and policy early.
