Consultants whose client requires $5M can often meet it with one $5M Professional Liability (E&O) policy or a smaller primary policy plus follow-form excess, and usually need a broker.
The short answer
- For consultants, a $5M requirement usually means $5M per claim / $5M aggregate (the most paid for one claim and for all claims in a year), met by one policy or a primary plus excess.
- You may get one $5M primary policy, or reach $5M with a smaller primary policy plus an excess layer on top that follows form (uses the same terms as the primary policy).
- $5M is very rare online. You will almost always need a broker, who can request quotes from specialty markets, such as excess and surplus lines insurers (those that write coverage standard insurers often will not). Morrow can help you find it.
What does a $5M requirement mean for consultants?
Professional Liability (E&O) insurance, also called errors and omissions, can help when a client says your advice or services cost them money. Consultants who build or manage software or IT systems often buy Technology E&O instead, so check which form your contract names. A $5M clause often reads:
Illustrative contract wording
Consultant shall maintain Professional Liability (Errors and Omissions) insurance with limits of not less than $5,000,000 each claim and $5,000,000 annual aggregate. If written on a claims-made basis, the retroactive date shall be no later than the effective date of this Agreement, and coverage shall be maintained for three (3) years after completion of services. Required limits may be met through any combination of primary and excess policies.
Illustrative example only. Actual contract wording varies.
For example (hypothetical), a client might say a recommendation in your final report led to a costly decision, and ask you to cover the loss.
- Per claim and aggregate: see how limits are written.
- Claims-made: Professional Liability almost always covers claims made and reported while the policy is active. The retroactive date is the earliest work date covered.
- Primary plus excess: the last sentence lets you stack policies. If yours does not, confirm with the client that primary plus follow-form excess meets the clause. You would usually renew every layer for the period required.
Who asks consultants for $5M?
The number reflects the client's exposure, not your firm's size. Large clients often use one insurance schedule for every vendor, so a small team can get the same clause as a large firm. $5M usually comes from:
- Large enterprises that hire consultants for projects where a mistake could cost the client millions
- Financial institutions such as banks, insurers and asset managers
- Healthcare systems and health plans
- Government agencies, on larger or higher-risk projects, where the limit may be written into the request for proposal (RFP)
How is $5M built?
A primary policy pays first. An excess policy pays only after the primary limit is used up. "$3M xs $2M" means a $3M layer above the first $2M.
Example A: single policy
Example B: two layers
Example C: two layers
Line the layers up with no gap. The excess should follow form, so its terms match the primary. Every layer should share the same retroactive date, policy period and named insured (the business the policy covers). Many Professional Liability policies pay defense costs inside the limit, so confirm each layer treats defense alike.
Compared with $3M for consultants, $5M often adds an excess layer and more underwriting review. If a client asks for $10M, more layers are usually needed. Morrow can help you find them.
What will underwriters ask for?
An underwriter decides whether to offer coverage. Each insurer in the structure may review your firm.
- A completed application describing your services, and whether you only advise or also run the work you recommend, since implementation can raise the exposure
- Revenue for last year and next year, by type of work
- Your largest clients and contract values
- The contract requiring $5M, plus your standard client agreement and any limitation of liability clause (a cap on what you owe a client)
- Three to five years of loss runs (a report listing past claims), plus details on any incident
- Your current policy with its retroactive date, and risk practices such as engagement letters
What affects the cost?
- Your services, clients and revenue. Advice that touches money, patient care or public programs usually costs more to insure.
- How the $5M is built. The primary layer often costs more per $1M of limit, and excess layers may cost less per $1M, but this varies by market and by your risk.
- Claims history. Past claims can shrink the limit offered and raise the price of each layer.
- Retention and defense terms. Retention works like a deductible, and a higher one often lowers premium. Defense outside the limit often costs more.
Frequently asked questions
Can a small consulting firm get $5M Professional Liability?
Sometimes, depending on revenue, services and claims history, often through a $1M or $2M primary plus excess. Very small or newer firms may be offered less, and some insurers may not write excess for them.
Can I use my commercial umbrella to meet a $5M Professional Liability requirement as a consultant?
Almost never. A commercial umbrella usually excludes professional services. You usually need a higher primary limit or a follow-form excess Professional Liability policy. Read more on umbrellas.
Can my client be added as an additional insured on my consulting Professional Liability policy?
Usually not. Professional Liability protects you against claims from clients, so naming a client as an insured does not fit the coverage. Many clients accept a certificate of insurance (a one-page summary proving your coverage) that lists every layer.
How long does it take to get $5M Professional Liability in place?
It varies. Underwriting at this level can take longer than for smaller limits, especially with an excess layer. Complete documents up front often help.
