$5M Professional Liability (E&O) Insurance for Construction Managers

In this guide

Construction managers whose owners require $5M in Professional Liability usually reach it with a primary policy plus follow-form excess, or sometimes one $5M policy.

The short answer

  • A $5M requirement means your Professional Liability (E&O) must pay up to $5M if an owner claims your services caused a financial loss, often through a primary policy plus follow-form excess.
  • $5M is a high limit. It usually comes with large programs and public or institutional owners, and a single $5M primary is sometimes offered.
  • $5M is very rare online and almost always needs a broker. Morrow can help you find it.

What does a $5M requirement mean for construction managers?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your negligent advice or services caused a client a financial loss. For a construction manager, that could be a careless cost estimate. Claims about guaranteed cost or schedule, betterment (upgrades the owner would have paid for anyway) and your fee are often excluded. A $5M clause may read:

Illustrative contract wording

Construction Manager shall maintain Professional Liability insurance for negligent acts, errors and omissions in its services, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. Limits may be met through primary and follow-form excess policies. Coverage shall be maintained, with a retroactive date no later than the start of services, for five (5) years after Substantial Completion of the Program.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: the most paid for one claim, and for all claims in a year.
  • Claims-made: it almost always covers claims made and reported while the policy is active, for work done on or after the retroactive date (the earliest date of work covered).
  • Long tail: claims can come years after a building opens, so you would usually renew every layer.
  • Stacking allowed: this clause accepts primary plus excess. If yours is silent, confirm with the client that primary plus follow-form excess meets it.

Who asks construction managers for $5M?

Many construction management contracts ask for $1M to $3M, though requirements vary by owner and project. $5M sits above $3M because the owner wants more room for a large program, and some owners go on to ask for $10M. $5M usually comes from:

  • Hospital systems and universities hiring a program manager for a capital plan.
  • Public agencies and authorities that write the limit into the request for proposal.
  • Developers of high-rise, mixed-use or life science buildings.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below it is used up. "$3M xs $2M" means a $3M layer above the first $2M. A primary policy plus the excess layers above it is called a tower.

Example A: single policy

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Example C: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M per claim / $5M aggregate

Each excess layer should follow form, meaning it adopts the primary policy's terms. Match the retroactive date, policy period and named insured (the company the policy covers) across every layer. A commercial umbrella almost never covers Professional Liability (see umbrellas and Professional Liability).

Owners usually cannot be added as an additional insured (a party given coverage under your policy) on Professional Liability, unlike general liability (the policy for injury and property damage claims). Some policies may include limited wording that covers only the owner's vicarious liability (responsibility for your acts), but this varies. Ask whether it applies and whether every layer follows it.

A construction manager at risk (who holds the trade contracts) may be asked for a contractors professional liability form. Firms that also design may need A&E (architects and engineers) coverage.

If you carry a lower limit today, request new quotes through Morrow for a higher primary or excess layers. Morrow can ask carriers to keep your retroactive date and prior acts coverage (cover for past work done before the new policy starts) where the market allows. Towers at this level are very rarely found online. Morrow can help you find them.

Good to know

Defense costs can shrink the tower. Many Professional Liability policies pay defense costs inside the limit.

What will underwriters ask for?

At $5M, carriers may review:

  • Your split between agency (advisory) and at-risk work.
  • Your largest programs: owner type, construction value and your fee.
  • Higher-risk work such as hospitals, labs or occupied buildings.
  • Services you sign off on, such as estimates, schedules or pay applications.
  • Your contracts: standard of care, indemnity wording and contractual liability terms.
  • Five years of loss runs (a report of past claims), open incidents and your current retroactive date.

What affects the cost?

  • Delivery method. At-risk and self-performed work usually add exposure compared with advisory work.
  • Program size and type. Healthcare and very large budgets usually cost more.
  • Tower design. The primary layer usually costs the most per $1M.
  • Claims history. Past claims can raise the price or limit capacity.
  • Retention and defense terms. A retention is the amount you pay per claim before the policy pays. A higher one usually lowers premium.

Frequently asked questions

Do I need $5M Professional Liability as a construction manager?

Only if your contract or owner requires it; many construction management contracts ask for $1M to $3M. Hypothetically, a missed hospital wing estimate could lead an owner to claim redesign and financing costs.

Is $2M primary plus $3M excess enough if my contract says $5M?

Often yes if the clause allows primary plus follow-form excess; confirm it with the client.

Can a small construction management firm get $5M?

Often not at the full limit. Capacity depends on your fees, project size and experience, and you may be offered less.

What happens if I stop renewing after the program ends?

A claim first made after your policy ends is generally not covered. Keep renewing each layer, or buy an extended reporting period (a "tail").
