$5M Professional Liability (E&O) Insurance for Advertising Agencies

In this guide

For advertising agencies asked by a brand to carry $5M: you can usually meet it with one $5M Professional Liability (E&O) policy, or a smaller primary policy plus follow-form excess.

The short answer

  • $5M is on the high end for advertising agencies. You usually meet it with one $5M primary policy or a smaller primary plus follow-form excess layers (extra limit above the primary).
  • It often comes from very large brands or national campaigns. Your contract may require every layer to include media liability.
  • $5M is very rare online. It almost always takes a broker, who can request quotes from excess and surplus lines (E&S) markets, which often write risks standard insurers do not cover. Morrow can help you find it.

What does a $5M requirement mean for advertising agencies?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your work caused a client a financial loss. For agencies, it often includes media liability, which covers claims that your content infringed someone's rights. A $5M clause often reads like this:

Illustrative contract wording

Agency shall maintain Professional Liability insurance, including media liability for infringement of copyright and trademark, invasion of privacy and defamation, with limits of not less than $5,000,000 per claim and $5,000,000 in the aggregate. If written on a claims-made basis, coverage shall be maintained for three (3) years after termination. Limits may be satisfied by a combination of primary and excess policies.

Illustrative example only. Actual contract wording varies.

  • Per claim and aggregate: the most paid for one claim, and for all claims in a year.
  • Claims-made: Professional Liability almost always covers claims made while the policy is active, for work after the retroactive date (the earliest work date covered).
  • Three years after: you would usually keep every layer in force with the same retroactive date, or buy an extended reporting period (extra time to report claims after a policy ends) where allowed. Both depend on the carrier and policy wording.
  • Primary plus excess: the last sentence lets you stack policies. If yours does not, confirm with the client that primary plus follow-form excess meets it.

Who asks advertising agencies for $5M?

Many agency contracts ask for $1M to $3M. $5M is less common because it usually needs excess layers, while $3M can sometimes come from one primary policy. A $5M request usually comes from:

  • Global brands naming an agency of record (a brand's main agency) for national creative or media buying.
  • Holding company networks that pass their limits down to smaller agencies.
  • Pharma, financial services and alcohol clients.
  • Brands running big sweepstakes, celebrity spokespeople or influencer programs.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below is used up. "$3M xs $2M" means a $3M layer above the first $2M.

Example A: single policy

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Example C: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M per claim / $5M aggregate

The excess should follow form, meaning it adopts the primary's terms. If an excess layer excludes intellectual property claims, it may leave out important risks for agencies, such as copyright and trademark disputes. Every layer should share the same retroactive date. Many Professional Liability policies pay defense costs inside the limit, so confirm each layer treats them alike (see defense costs inside or outside limits). If your agency builds ad tech or apps, Technology E&O may fit better.

Good to know

Hypothetical claims at this size. A national TV spot uses a photo licensed for print only, and the rights holder sues. A buying error runs a campaign in the wrong markets, and the brand seeks the wasted spend.

What will underwriters ask for?

An underwriter decides whether to offer coverage and on what terms.

  • Your revenue split by service, such as creative, media buying, digital, influencer and PR.
  • How you clear content: legal review of ad claims, trademark searches and final approval.
  • How you license music, images and talent.
  • Your largest clients and the media spend you manage.
  • The $5M contract, including indemnity terms (promises to cover the client's losses) and any limitation of liability clause (a term that caps what you could owe the client).
  • Loss runs (a report of past claims), your current policy and retroactive date.

What affects the cost?

  • Services and clients. National media buying and regulated clients often cost more to insure.
  • How the $5M is built. Primary and excess layers are usually priced differently.
  • Media liability scope. Broad intellectual property and privacy coverage often adds cost.
  • Claims history and controls. Prior claims can shrink the limit offered.
  • Retention and defense terms. Retention works like a deductible, and a higher one usually lowers premium. Defense outside the limit usually costs more.

Frequently asked questions

Can a small advertising agency get $5M Professional Liability?

Sometimes, but it depends on underwriting. Some may build $5M with a $1M or $2M primary plus excess. Revenue, services and claims history all matter, and a smaller agency may be offered less than $5M. $5M almost always needs a broker. Morrow can help you find it.

I carry $2M today. How do I reach $5M Professional Liability?

Request new quotes through Morrow for a new $5M primary policy or for excess layers. Morrow can ask carriers to keep your retroactive date and prior acts coverage where the market allows. Report known incidents to your current carrier before switching.

Can I use my commercial umbrella to reach $5M Professional Liability?

Almost never. A commercial umbrella usually excludes professional services. You need a higher primary or follow-form excess (see umbrellas and Professional Liability).

Can a brand be added as an additional insured on my Professional Liability?

Not automatically, and often not at all. Some carriers may agree to add a client as an additional insured, usually only for the client's vicarious liability (responsibility for your acts) and only with underwriting approval. Check the contract wording and whether every excess layer follows form. Many brands accept a certificate of insurance (a one-page summary of your coverage) that lists every layer, limit and policy period.
