$5M Professional Liability (E&O) Insurance for 3PL and Logistics Consultants

In this guide

3PL and logistics consultants asked for $5M of Professional Liability by a very large client usually meet it with one $5M primary policy or a smaller primary plus follow-form excess layers.

The short answer

  • A $5M requirement means the policy pays up to $5M per claim and $5M for all claims in the policy year. One primary policy, or a primary plus excess layers that follow its terms, can meet it.
  • $5M is at the high end for 3PL and logistics consultants. It often comes from very large shippers, national retailers, investors and public agencies.
  • $5M is very rare online and almost always needs a broker. Morrow can help you find it.

What does a $5M requirement mean for 3PL and logistics consultants?

Professional Liability (E&O, short for Errors and Omissions) covers claims that your advice or services cost a client money. A $5M clause may read like this:

Illustrative contract wording

Consultant shall maintain Professional Liability insurance for all logistics, distribution network and warehouse systems services, with limits of not less than $5,000,000 per claim and $5,000,000 annual aggregate. Limits may be met by a primary policy and follow-form excess policies. Coverage shall be kept in force for five (5) years after this Agreement ends.

Illustrative example only. Your contract's wording controls.

  • Per claim and aggregate: the most paid per claim, and for all claims in the policy year. Both are $5M.
  • Claims-made: Professional Liability almost always covers claims made and reported while the policy is active, for work after the retroactive date (the earliest work date covered).
  • Five years after: you would usually renew every layer that long, or buy tail coverage (extra time to report claims after a policy ends).
  • Stacking layers: if your clause is silent, confirm with the client that primary plus follow-form excess meets it.

Who asks 3PL and logistics consultants for $5M?

$5M is less common than $1M, $2M or $3M. It tends to come from:

  • Very large shippers whose vendor MSA (master service agreement) sets one high limit for every advisor.
  • National retailers redesigning distribution networks.
  • Big 3PLs running a WMS or TMS (warehouse or transportation management system) rollout across many sites.
  • Private equity firms relying on your due diligence (deal review before a purchase).
  • Ports and public agencies funding freight studies.

How is $5M built?

A primary policy pays first. An excess policy pays only after the layer below is used up. "$3M xs $2M" means $3M above the first $2M.

Example A: single policy

Primary policy$5M / $5M
Total: $5M per claim / $5M aggregate

Example B: two layers

Excess layer$3M xs $2M
Primary policy$2M / $2M
Total: $5M per claim / $5M aggregate

Example C: three layers

Second excess$2M xs $3M
First excess$2M xs $1M
Primary policy$1M / $1M
Total: $5M per claim / $5M aggregate

A $3M requirement may be met by a $1M primary plus $2M of excess. $5M may add a layer or a larger primary, so more carriers may review your file.

Each excess layer should follow form, meaning it adopts the primary policy's terms. Every layer should share the same retroactive date, policy period and named insured (the covered business).

A commercial umbrella almost never covers Professional Liability (see umbrellas and Professional Liability).

Logistics consultants often buy a general consulting form of Professional Liability (sometimes called Miscellaneous Professional Liability). If you configure WMS or TMS software, Technology E&O may fit better. If you also arrange freight, some contracts may ask for separate coverages, such as contingent cargo (pays if a carrier you hired damages a client's goods) and contingent auto (pays if a hired carrier's truck causes a crash).

If you carry a lower limit today, request new quotes through Morrow for a $5M primary or excess layers. Morrow can ask carriers to keep your retroactive date and prior acts coverage (cover for earlier work) where the market allows. Layered $5M is almost never found online. Morrow can help you find them.

Good to know

Defense costs can use up the limit. Many policies pay defense costs inside the limit, so legal bills shrink what is left. Check that every layer does the same.

What will underwriters ask for?

Underwriters (the people who decide whether to offer coverage) may review:

  • Revenue by service: network design, 3PL selection, carrier bids, WMS or TMS projects, freight audit, due diligence.
  • Whether you arrange freight, hold goods or run a warehouse.
  • Your largest projects: client freight spend, inventory value, number of sites.
  • Whether you guarantee savings or sign off on software go-live.
  • The $5M contract, including indemnity (your promise to repay the client's losses) and any limitation of liability clause (a cap on what you owe).
  • Loss runs (reports of past claims), open incidents and your current policy.

What affects the cost?

  • Type of work. Software rollouts, buyer due diligence and savings-based fees may cost more to insure than studies.
  • Size of the advice. Bigger freight budgets mean bigger losses.
  • How the $5M is built. The primary layer usually costs the most per $1M of limit. Higher excess layers usually cost less.
  • Claims history. Past claims can shrink offers and raise the price.
  • Retention. This works like a deductible. A higher one usually lowers premium.

Frequently asked questions

Do I need $5M Professional Liability as a logistics consultant?

Only if your contract or client requires it; the clause sets the amount. Hypothetical claim: your network model sends a retailer into two distribution centers it cannot fill.

Is a $3M policy enough if my contract says $5M?

Usually not on its own, because the clause says $5M. A $3M primary plus a $2M follow-form excess layer may reach $5M. Confirm with the client that this structure meets the clause. Layered $5M usually needs a broker. Morrow can help you find it.

Can my client be added as an additional insured on my Professional Liability?

Not automatically, and most Professional Liability policies do not add clients. Some carriers may agree, usually only for liability arising from your services, so ask when you request quotes and confirm each excess layer follows it. Many clients accept a certificate of insurance (a one-page proof of coverage) listing every layer with its policy number, limit and policy period, but check what your contract requires.

Looking for $5M in Professional Liability? Morrow can help.
